Governance Explanations

Form 990, Page 6, Part VI, Line 11B

A copy of the 990 is reviewed by the finance director, audit committee and the board of directors prior to filing.

Form 990, Page 6, Part VI, Line 12C

The policy of the organization is that directors and management disclose any actual or possible conflict of interest relationship or transaction to the board of directors. The board then determines whether a conflict of interest does in fact exist, and if a conflict of interest does exist, whether the board will permit the director or manager to participate in the relationship or conflict of interest transaction. The organization is in the process of revising its formal conflict of interest policy.

Form 990, Page 6, Part VI, Line 15A

The board of directors reviewed the organization's compensation for the former executive director as part of passing the annual budget. The board compares compensation with other similar not for profit agencies to ensure competitiveness.

FORM 990 - ORGANIZATION'S MISSION

With a mission of building brighter futures through ocean adventure education, ness's core values of inclusiveness, experiential learning, personal discovery, and stewardship have stood the test of time and underlie all ness activities. Ness's programs engage students in experiential learning to build confidence, teamwork, and leadership skills. Sailing, marine science, and adventure sports serve as platforms for inquiry-based, active learning; social and emotional learning; fostering respect and responsibility for the sea; and connecting with the community. Ness operates year-round with schools, families, and organizations to provide high quality education programs that blend innovative curriculum with exciting ocean adventure activities. In 2018, ness served over 9,000 students across locations in connecticut and rhode island. Also in 2018, ness became accredited by the new england association of schools & colleges (neasc)as a school partner program. This accreditation validates the quality of ness's curriculum and achieved outcomes. Neasc highlighted the strength of ness's core values and understood the deep commitment of the program's leadership, faculty, and staff to these principles. Observing and talking with students, visiting faculty members, parents, and residents from stonington and the surrounding area, neasc stated it was clear that ness has created a remarkable and mission-driven reality that is embraced and celebrated throughout the region.

Form 990, Page 2, Part III, Line 4D

Ness provides opportunities for adults and families to participate in hands-on, experiential programs and development. There are two types of programs. First are access programs such as sailing, powerboating, and adventures sports. These classes are specifically designed to cover a progression from novice to high performance mastery of skills and content. Some programs are taught on a one-on-one basis allowing educators to structure curriculum and advancement around the specific needs of individual students. The second type of programs are teacher professional development programs, which focus on providing informal education techniques to k-12 school teachers. Often the teacher professional development is utilized to prepare teachers for upcoming field and classroom expeditions with ness.
