Governance Explanations

Form 990, Part VI, Section B, Line 11B

The taxpayer's accounting firm forwarded the form 990 to the coo and director of finance & operations. Upon review, the coo and director of finance & operations forwarded the form 990 to the ceo/executive director and audit committee, which reviewed and approved prior to filing the form 990. The draft form was also provided to the national board of directors prior to filing. Questions were forwarded to the coo and director of finance & operations. Either the coo, director of finance & operations, or the accounting firm addressed the questions from the ceo, audit committee and the board.

Form 990, Part VI, Section B, Line 12C

Techbridge has a comprehensive conflict of interest policy, designed to foster public confidence and to protect techbridge's interests when it is contemplating entering into a transaction that might benefit the private interest of a director, corporate officer, top management or top financial official, a key employee, a person with substantial influence over techbridge, or other interested person. Covered persons include "insiders or "interested persons". Procedures include a 1) duty to disclose; 2) determination of whether a conflict of interest exists; and 3) procedures for addressing a conflict of interest. If an insider is a director, the director shall not vote on any transaction in which the director has an interest, and the remaining board or committee members shall decide the matter. Potential conflicts are reviewed by the board or a committee and may include investigating alternatives that present no conflict. In addition, minutes of any meeting of the board and/or committee pursuant to this policy shall contain the name of each interested person who disclosed or was otherwise determined to have a conflict of interest; any alternative transactions considered; the members of the board or committee who were present during the debate on the transaction, those who voted on it, and to what extent interested persons were excluded from the deliberations.

Form 990, Part VI, Section B, Line 15

The compensation for the ceo/executive director and other key employees is determined by reviewing the compensation of comparable positions at other similar-sized nonprofit organizations in the education and youth development sectors. The compensation is reviewed and approved by the board of directors. The deliberation and approval are documented in the meeting minutes.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request for the same period of time set forth in sec. 6104(d).

Financial Statement Notes

PART X, LINE 2:

The organization is a tax-exempt organization under internal revenue code section 501(c)(3) and the california tax code. The organization provides for tax, if any, on unrelated business income. The organization's current accounting policy is to evaluate uncertain tax positions. Accordingly, a loss contingency is recognized when it is probable that a liability had been incurred as of the date of the financial statements and the amount of the loss can be reasonably estimated. Management evaluated the organization's tax positions and concluded that the organization had maintained its tax-exempt status and had taken no uncertain tax positions that required adjustment to the financial statements. Therefore, no provision or liability for income taxes has been included in the financial statements.
