A committee of the board reviews the draft of the 990 in conjunction with management. Once any questions and issues have been resolved, the 990 is finalized by the audit firm and presented to the board for final review and approval. Upon review and approval by a majority of board members, the 990 is adopted and filed with the irs.

Each board member of the governing board shall annually sign a statement which affirms such person has received a copy of the conflict of interest policy, has read and understands the policy and agrees to comply with the policy. The president & ceo monitored the conflict of interest policy and collected the annual statements.

Salaries for officers and key employees are set by reviewing benchmark data and other relevant comparable data points, and through discussion with external search firms where applicable. Once a recommendation is formulated, it is presented to the board for review and final approval. The board also annually reviews and approves the operating budget which includes salaries and employee benefits.

Form 990, Part III, Line 3

The decline in grantmaking year-on-year for fnf is due to the newark public school collective bargaining labor agreement that fnf is funding. In 2012, there was a one-time payment of over $30 million in relation to the contract, which increased our grant activity as compared to 2013.

Financial Statement Notes

PART V, LINE 4:

Certain funding to the foundation is temporarily restricted and reserved for specific programming purposes. The organization keeps these funds restricted until they are needed for their intended purpose.

PART X, LINE 2:

The foundation accounts for uncertainty in income taxes recognized in the financial statements using a recognition threshold of more likely than not as to whether the uncertainty will be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. Management determined there were no tax uncertainties that met the recognition threshold. Currently, all of the foundation's federal exempt organization returns are subject to examination by the internal revenue service.
