The President or designee shall become familiar with the statements of all Directors in order to guide the conduct of the business of the board should possible transactions involving Directors arise. (b) At such time as any matter comes before the Board in such a way as to give rise to consideration of a pecuniary benefit transaction involving a Director or member of the Director's family, the affected Director shall make known the potential conflict, whether disclosed by his written statement or not, and after answering any questions that might be asked him, shall withdraw from the meeting for so long as the matter shall continue under discussion. Should the matter be brought to a vote, neither the affected Director nor any other Director who has had a pecuniary benefit transaction in the same fiscal year shall vote on it. A vote to find that the transaction is in the best interest of the Corporation by 2/3rds of the board shall be required in order to enter into the transaction.”

Contemporaneous substantiation of the deliberation and decision is recorded.”

Tax-exempt organizations could be required to record an obligation for income taxes as the result of a tax position historically taken on various tax exposure items including unrelated business income or tax status. In accordance with accounting principles generally accepted in the United States of America, assets and liabilities are established for uncertain tax positions taken or positions expected to be taken in income tax returns when such positions are judged to not meet the "more-likely-than-not" threshold, based upon the technical merits of the position. Management has evaluated tax positions taken by Easter Seals New Hampshire, Inc. and its subsidiaries on their respective filed tax returns and concluded that the organizations have maintained their tax-exempt status, do not have any significant unrelated business income, and have taken no uncertain tax positions that require adjustmnet to or disclosure in the accompanying consolidated financial statements. Easter Seals New Hampshire, Inc. and its subsidiaries are no longer subject to income tax examinations by the federal or state tax authorities for years prior to 2013.”

Post Permanency services address the normative issues families raising children not born to them commonly face, as well as the more significant issues that can arise when parenting a child who has experienced early trauma. Services available:1. In-home adjusted parent education, identifying strengths and challenges, and developing plans that foster growth 2. Consultation to treatment teams and school teams3. Referrals to community resources4. General adoption information5. Kinship placement support 6. Limited respite monies for parents who require planned time to focus on family needsLending LibraryThe Lending Library, located in our Berlin office, is an extensive collection of books that covers topics related to parent/child relationship, fostering a healthy family life, and child development. These titles are available for loan to parents and professionals in Vermont and New Hampshire. We have a wonderful assortment of children's stories, which cover diverse subjects. Intensive Family Based ServicesIntensive Family Based Services (IFBS) provide support to children and their families facing challenges that threaten their stability and safety at home and in their community. IFBS works with DCF to help keep families safely together through in-home, family-focused treatment services. Who we serve:1. Families at risk of having their children removed from their homes2. Families at risk of DCF involvement3. Families with children returning from out-of-home placement 4. Referrals from DCF and community partners What we do:1. Clinically guided assessments to support DCF to help determine the needs of the family focusing on safety of the child2. Maintain flexible schedules to meet the needs of the family3. Case management4. Serve families who do not have insurance or access to Medicaid5. Assist families in building positive connections within their community 6. Create family-directed goals in each Plan of Care7. Use of Family Safety Planning8. Create and maintain strong partnerships9. Provide therapeutic services when other resources are not available Child Parent PsychotherapyChild Parent Psychotherapy (CPP) is an evidence-based treatment for children aged 0-6 who have experienced a traumatic event. This modality is especially helpful for the child welfare involved families with whom we work, as both the traumatic experience of the child and the traumatic experience of the parent are addressed in working with the dyad. Easterseals VT has four nationally rostered CPP clinicians. We have served numerous child welfare involved families, including those on our Safe Babies Teams, with substantial number of reunifications. We are breaking new ground by collaborating with Northeastern Family Institute to bring to Vermont the first Learning Collaborative to train 40 clinicians in CPP. This is a two year investment, which will substantially increase the availability of this service throughout the state.
