Governance Explanations

Form 990, Part VI, Section A, Line 1A

Executive committee consists of the board members appointed by the board of directors. (a) in order to facilitate the corporation's governance, should the number of directors at any time exceed three (3), there shall be an executive committee of the board which shall exercise all powers of the board of directors between meetings of the board, subject to the limitations of law and these bylaws and any other limitations that may be established from time to time by the board of directors. The executive committee shall in such case consist of three (3) directors, namely, the chairperson of the board (appointed pursuant to section 3.14) and two (2) other directors appointed to such executive committee by the board. (b) at any meeting of the executive committee, the number of committee members necessary to constitute a quorum for the transaction of business shall be a simple majority of the members of the executive committee. When a quorum is present at any meeting, the acts of a majority of the committee members present or by proxy shall be the acts of the executive committee. (c) minutes of all executive committee meetings shall be kept, filed with the records of the corporation and shall be presented to the board of directors at the next scheduled board meeting.
