Governance Explanations

Form 990, Part VI, Section A, Line 1

In order to facilitate the corporation's governance, should the number of directors at any time exceed three, there shall be an executive committee of the board which shall exercise all powers of the board of directors between meetings of the board, subject to the limitations of law and these bylaws and any other limitations that may be established from time to time by the board of directors. The executive committee shall in such case consist of three directors, namely, the chairperson of the board (appointed pursuant to section 3.14) and two other directors appointed to such committee by the board.

In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial interest and must be given the opportunity to disclose all material facts to the directors and/or the members of committees with board delegated powers considering the proposed transaction or arrangement.
