Mission

The max planck florida foundation, inc. (mpff) was established to secure private philanthropic support from individuals, corporations, and foundations across the united states and internationally in support of the scientific mission, objectives, and programs of the max planck florida institute for neuroscience, a not-for-profit research organization dedicated to answering fundamental questions about brain development and function and developing new technologies enabling groundbreaking discoveries. Mpff raises funds to advance neuroscience research, bring cutting-edge technologies to the institute, and train the next generation of the best and brightest graduate and post-graduate scientific investigators.

Max Planck Florida Foundation has filed Articles of Merger with the Florida Department of State to merge its net assets and operations into MAX PLANCK FLORIDA CORPORATION, a related tax-exempt organization and the sole member of MAX PLANCK FLORIDA FOUNDATION. Upon execution of this merger, the separate existence of Max Planck Florida Foundation shall cease. All remaining assets of Max Planck Florida Foundation were distributed to Max Planck Florida Corporation in accordance with the governing documents. The Articles of Merger are attached.

MAX PLANCK FLORIDA Foundation has one member, MAX PLANCK FLORIDA CORPORATION.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

Pursuant to Section 5.3 of the Foundation's Bylaws, the Foundation Board of Trustees shall present to the Member (MAX PLANCK FLORIDA CORPORATION) a slate of individuals who shall be nominated to serve on the Board of Trustees for the ensuring term. The slate of nominated Trustees shall be subject to ratification by the Member at its sole discretion. In the event the Member refuses to ratify such slate of nominees, the Board of Trustees shall present an alternate slate to the Member for approval. Such procedure shall be followed until the Member ratifies the slate of nominees to serve on the Board of Trustees.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

Pursuant to Section 4.3 of the Foundation's Bylaws, the following actions must be approved by the member (MAX PLANCK FLORIDA CORPORATION): -The issuance of new or additional membership interests; -Any merger or consolidation of the Foundation with or into any other entity, or of any other entity with or into the Foundation; -Any amendment to the Articles of Incorporation or the Bylaws of the Foundation; -The dissolution or liquidation of the Foundation; -The selection and removal of all officers of the Foundation (including the President) and authorizing any powers and duties for them that are consistent with law, with the Articles of Incorporation, and with these Bylaws, and fixing their compensation; -Changing the principal office or the principal business office in the State of Florida from one location to another; and designating any place within or without the State of Florida for the holding of meetings; -the sale, lease, exchange, transfer, or other disposition of the assets of the Foundation that are other than in the ordinary course of business or inconsistent with the then-approved budget; -Incurring loans or other indebtedness on behalf of the Foundation subject to the then-approved budget; -The ratification of any grants approved by the Foundation or its Grant Allocation Committee; -The compensation to be paid to Trustees, committee members, the President, or any other officers; -The hiring and any extension or termination of the employment of the President; and -The adoption of the annual budget, based on an agreed upon budget plan, and any mid-term budget of the Foundation, which budgeted expenses the Member shall fully fund in accordance with the approved budget(s). Additionally, any changes to the Foundation's Board of Trustees must be approved by MAX PLANCK FLORIDA CORPORATION.

The governing body reviews form 990 and the related schedules along with the audit committee and management. These individuals review form 990, prepared by an outside cpa, in its entirety prior to filing with the internal revenue service and communicate to the board of trustees at the next scheduled board meeting. IN NOVEMBER 2018, MAX PLANCK FLORIDA FOUNDATION WAS DISSOLVED AND ALL ASSETS, LIABILITIES AND RETAINED FUNDS WERE TRANSFERRED TO MAX PLANCK FLORIDA CORPORATION, A RELATED TAX EXEMPT ORGANIZATION. THE $4,669,281 REMAINING BALANCE IN THE ENDOWMENT FUND HELD BY THE FOUNDATION WAS TRANSFERRED TO MAX PLANCK FLORIDA CORPORATION UPON THE FOUNDATION'S DISSOLUTION. THIS TRANSFER IS REFLECTED ON FORM 990, SCHEDULE D, PART V, LINE 1e, COLUMN (a).
