Governance Explanations

Form 990, Part VI, Section A, Line 7A

The following members have the power to elect or appoint one or more members of the governing body: all board members can participate in the election of the officers and directors.

Form 990, Part VI, Section B, Line 11

The organization does not believe it is effective nor efficient for the entire governing board to review form 990 before filing. Thus, the governing body delegates the review of form 990 and the related schedules to the audit committee. The audit committee reviews the form 990, prepared by an outside cpa, in its entirety prior to filing with the internal revenue service. The approval of form 990 is documented with the signature of the president or chairman of the board.

Form 990, Part VI, Section B, Line 12C

The following practice is used to monitor proposed and ongoing transactions for conflicts of interest: conflicts are reported to the board and appropriate actions are taken.

Form 990, Part VI, Section B, Line 15

Independent data is used to establish compensation for every key management position prior to and at the time of hire. The board of trustees ratifies hires at the next scheduled board meeting. The board chairman and all senior officers participate in hiring, reviews, and decisions.

Form 990, Part VI, Section C, Line 18

The organization provides copies of form 990 upon request for the same period of disclosure as set forth in irc section 6104(d).

Form 990, Part VI, Section C, Line 19

The organization provides copies of its governing documents, conflict of interest policy and financial statements only upon inspection on premises for the same period of disclosure as set forth in irc section 6104(d).

Form 990, Part VII, Line 11

The president & staff are compensated through the related organization max planck florida corporation. These individuals devotes the majority of their time to max planck florida foundation.

Financial Statement Notes

PART V, LINE 4:

The foundation has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the purchasing power of the endowment assets. Endowment assets include those assets of donor-restricted funds that the foundation must hold in perpetuity or for a donor-specified period(s) as well as board-designated funds. Under this policy, as approved by the board of trustees, the endowment assets are invested in a manner outlined in the investment policy adopted by the board of trustees. This investment policy's purpose is to provide guidance to the investment managers regarding the foundation's objectives and goals with regard to the endowment investing. Specifically it outlines the risk tolerance areas of the foundation as well as defining the limitations in the portfolio of investments. The foundation expects its endowment funds, over time to provide an average rate of return that permits a predictable and sustainable spending rate of the average market value of endowment assets by achieving annual growth in value at a rate equal to the sum of the annual spending rate and the annual rate of inflation.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate income tax positions taken by the foundation and recognize a tax liability if the foundation has taken an uncertain position that more likely than not would not be sustained upon examination by taxing authorities. Management evaluated the tax positions for the foundation and concluded that the foundation has taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. The foundation is no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for the years prior to 2011.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE FOUNDATION HAS ADOPTED INVESTMENT AND SPENDING POLICIES FOR ENDOWMENT ASSETS THAT ATTEMPT TO PROVIDE A PREDICTABLE STREAM OF FUNDING TO PROGRAMS SUPPORTED BY ITS ENDOWMENT WHILE SEEKING TO MAINTAIN THE PURCHASING POWER OF THE ENDOWMENT ASSETS.
IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1ACCOUNTING PRINCIPLES GENERALLY ACCEPTED IN THE UNITED STATES OF AMERICA REQUIRE MANAGEMENT TO EVALUATE INCOME TAX POSITIONS TAKEN BY THE FOUNDATION AND RECOGNIZE A TAX LIABILITY IF THE FOUNDATION HAS TAKEN AN UNCERTAIN POSITION THAT MORE LIKELY THAN NOT WOULD NOT BE SUSTAINED UPON EXAMINATION BY TAXING AUTHORITIES.
