Mission

Dairy research institute (dri) is a section 501(c)(3) public charity organized exclusively for educational and scientific purposes as follows: a) to engage in dairy science, nutrition, technology and sustainability research, study and analysis for the benefit of the general public on those questions affecting the public interest with respect to both the public and private sectors, and to publish the results of such study; b) to promote cooperation between other organizations with substantially similar goals and objectives; c) to carry out such administrative, financial, management, and other functions as are necessary and appropriate for the accomplishment of the purposes of the corporation; d) to do any other act or thing incidental to or connected with the foregoing purposes or in advancement thereof, but not for the pecuniary profit or financial gain of its members, directors or officers, except as permitted under the d.c. Nonprofit corporation act and section 501(c)(3) of the code.

Outlined below are the reasons DRI meets the required elements of the facts and circumstances test. a)Solicitation of funds. DRI is organized and operates in a manner to attract new and additional support for research, study and analysis in dairy science, nutrition, technology and sustainability. DRI solicits funds primarily through direct interaction with dairy industry stakeholders, presentations at conferences and trade shows, industry-related newsletters and internet forum postings. The Whey Protein Research Consortium, a DRI research program, provides information about the program and opportunities to support research efforts via its website (www.wheyconsortium.org/Pages/About-Us.aspx). The Innovation Center for U.S. Dairy, an organization related to DRI, collaborates with DRI on efforts to advance food safety practices and dairy sustainability. Information, resources and engagement opportunities are featured on its website (www.usdairy.com/about-us/innovation-center-resources). b)Percentage of support. For the aggregated period 2013 through 2017, DRI received 15.80% of its support from governmental and public sources. The percentage is below 33-1/3% of total support because of significant contributions received from Dairy Management Inc. (DMI) to support certain scientific studies and research activities in the years 2013 and 2014. DRIs public support percentage is expected to increase above the 33-1/3% threshold in 2018. c)Sources of support. DRI receives support from various governmental units and industry specific organizations. In 2017 DRI received contributions and grants from eighteen different organizations. DRI has averaged twenty-four different contributors per year for the five-year period from 2013 through 2017. d)Governing body. DRI is organized and operates for the advancement of dairy scientific research and analysis. DRI has delegated management duties to DMI, whose dairy scientists and technical experts regularly collaborate with industry, academic, government and commercial partners to support a range of dairy research and promotion initiatives. Miller, Ph.D., President of DRI, has more than twenty years of service and strategic industry leadership in nutrition research, product research and sustainability. e)Availability of public facilities or services. DRI shares its research findings with dairy farmers, cooperatives and processors, healthcare professionals, food & beverage manufacturers, suppliers and retailers, scientists and consumers through academic publications, trade association news releases, health and wellness newsletters, industry guidance and training workshops. IRS990ScheduleJ/SupplementalInformationDetail/ExplanationTxt2DMI provides a non-qualified defined contribution benefit for executives whose thrift & savings plan (401k plan) benefits are affected by the IRS annual compensation limits. DMI will automatically defer, on the behalf of a participant, employer contributions "lost" under the thrift & savings plan due to federal tax laws that place a limit on the amount of compensation that a qualified plan can use in making benefit calculations. This annual compensation limit for 2017 as defined in IRS code section 401(a)(17) is $270,000. The balance in each nonqualified plan account is credited to executives annually with interest based on an average of the wall street journal prime rates published on the first day of each calendar month. This balance accumulates over the course of the executives tenure at DMI and vests and becomes payable at termination of employment. DMI also provides a non-qualified supplemental retirement benefit for executives whose defined benefit pension plan benefits are affected by the IRS limits. This supplemental plan restores the portion of the defined benefit that would otherwise be lost by considering the executive's pay as if no IRS compensation restrictions apply and provides a "make up" benefit for the difference. This amount, calculated as the difference of the executive's benefit determined with and without the IRS compensation limits, is the executive's "defined benefit plan restoration benefit". This restoration benefit which was earned over the course of executives careers and was reported in previous years Form 990s as deferred compensation was paid out to executives via lump-sum payments in 2017 upon the termination of the pension plan. Gregory Miller was paid $944,634 (23+ years) in restoration benefits. These lump sum amounts paid representing benefits earned over these executives tenures at DMI are reported on schedule j, part ii, column b(iii) and are additionally footnoted in column f denoting that these benefits were reported as deferred in prior years Form 990s. As part of the process of terminating the defined benefit pension plan, DMI instituted a retirement transition program. Its purpose is to reduce the severity of the benefit reduction experienced by employees close to retirement age as DMI transitioned from a combination defined benefit/defined contribution benefit structure to an all defined contribution benefit structure. In 2017, Greg Miller was paid $54,722 under this program. These amounts paid are also reported on schedule j, part ii, column b(iii). Thomas Gallagher participated in a supplemental nonqualified retirement program in which actuarially-determined benefits vest at year-end and are paid by March 15 of the following year. He was paid a benefit of $50,563 in 2017 which is included on schedule j, part ii, column (b)(iii).
