Organization Members Membership, as provided in the Constitution and Bylaws, shall be available to persons actively employed in the health care industry, and to persons interested in advancing the cause of health care.

Governing Body Election Process HealthCare-PSEA is governed by its Constitution and Bylaws, standing rules, and such other actions as the House of Delegates and the Executive Board, the two governing bodies, may take which are consistent with those governing documents. The governance structure of Healthcare-PSEA also includes local associations. Local association officers and representatives to the House of Delegates are elected through open nominations, by secret ballot, by plurality vote, and in conformity with the one person one vote principle. Each local association shall be entitled to one representative for every active 50 members or major fraction thereof. Irrespective of size, however, each local association shall be entitled to at least one representative.

Form 990 Review Process All members of the governing body receive a copy of the Form 990 which is reviewed with management prior to its filing.

Form 990, Part VI, Line 12C

Conflict of Interest Policy Monitoring HealthCare-PSEA has a conflict of interest policy that covers the following individuals: executive officers; members of the Executive Board; and any other person designated by HealthCare-PSEA governance to represent HealthCare-PSEA. The conflict of interest policy requires executive officers, members of the Executive Board, and select others that are members of management review the policy and disclose any possible personal, familial, and/or business relationships that could give rise to a conflict of interest. On an annual basis, these individuals will either disclose such relationships or indicate that no such relationships exist on a statement of disclosure. The statements of disclosure are reviewed by members of management and select others. If a conflict is perceived to exist, the matter is then turned over to the Conflict of Interest Officer ("CI Officer"). The CI Officer shall monitor the implementation of the CI Policy, and make periodic reports regarding its implementation to the Executive Board.

Form 990, Part VI, Line 15

Executive Compensation Review HealthCare-PSEA does not compensate its officers and it does not have employees. However PSEA, a related organization who provides management and administrative services through an affiliation agreement, has employees who receive compensation. Compensation for the PSEA officers, the executive director, and program managers is set by the PSEA personnel committee and approved by the PSEA board of directors. Compensation for officers, the executive director, and program managers is documented in written employment contracts. The salaries for the PSEA officers and senior management team are based on a differential from the highest bargaining unit salary. The process for determining compensation includes a review of comparability data. Comparison data from other National Education Association state affiliates is collected, summarized, and made available to the PSEA personnel committee for their consideration. The deliberation process and outcome is documented in the PSEA personnel committee meeting files.

Income Taxes HealthCare-PSEA qualifies under the provisions of Section 501(c)(6) of the Internal Revenue Code as an organization exempt from federal income tax except for activities considered to be unrelated to its exempt purpose. No provision for income taxes was required for 2017 or 2016. Management has analyzed the tax positions taken by HealthCare-PSEA and has concluded that, as of August 31, 2017 and 2016, there are no uncertain positions taken or expected to be taken that would require recognition or disclosure in the financial statements.

Local association officers and representatives to the House of Delegates are elected through open nominations, by secret ballot, by plurality vote, and in conformity with the one person one vote principle. Irrespective of size, however, each local association shall be entitled to at least one representative.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4Conflict of Interest Policy Monitoring HealthCare-PSEA has a conflict of interest policy that covers the following individuals: executive officers; members of the Executive Board; and any other person designated by HealthCare-PSEA governance to represent HealthCare-PSEA. The conflict of interest policy requires executive officers, members of the Executive Board, and select others that are members of management review the policy and disclose any possible personal, familial, and/or business relationships that could give rise to a conflict of interest. On an annual basis, these individuals will either disclose such relationships or indicate that no such relationships exist on a statement of disclosure. The statements of disclosure are reviewed by members of management and select others. If a conflict is perceived to exist, the matter is then turned over to the Conflict of Interest Officer ("CI Officer"). The CI Officer shall monitor the implementation of the CI Policy, and make periodic reports regarding its implementation to the Executive Board.

However PSEA, a related organization who provides management and administrative services through an affiliation agreement, has employees who receive compensation. Compensation for the PSEA officers, the executive director, and program managers is set by the PSEA personnel committee and approved by the PSEA board of directors. Compensation for officers, the executive director, and program managers is documented in written employment contracts. The salaries for the PSEA officers and senior management team are based on a differential from the highest bargaining unit salary. The process for determining compensation includes a review of comparability data. Comparison data from other National Education Association state affiliates is collected, summarized, and made available to the PSEA personnel committee for their consideration. The deliberation process and outcome is documented in the PSEA personnel committee meeting files.
