“Under an Operating Agreement between the Members of the Organization, the Organization has Class A Members and Class B Members. Class B Members do not have an economic interest in the Organization and are therefore not obligated to make capital contributions and do not have the right to participate in or receive distributions from the Organization or the obligation to contribute to the losses of the Organization. Class B Members do not have the right to vote on any matter submitted to the vote of the Members unless expressly provided for in the Operating Agreement. Each Member, both Class A and Class B may appoint three individual board directors.”

“Copies of the 990 and all related schedules are sent out to the entire Board of Directors for review. Any questions the Board might have are directed back to the Chief Financial Officer. The 990 is then discussed at a full board meeting and approved by the Board of Directors.”
