Form 990, Part VI, Section B, Line 12C

The corporation's conflicts of interest policy shall apply to any transaction or arrangement with an interested person. If the board of directors (or any committee having board authority) is considering entering into any transaction or arrangement with a corporation, entity or individual in which an interested person has a financial interest, (a) the interested person must disclose the potential conflict of interest to the board of directors or the committee, as the case may be, (b) the interested person must leave the meeting while the matter is discussed and (c) the intersted person, if he or she has any voting rights, may not vote on the matter in question. Supplemental Narrative

Additional Explanations

Form 990, Part IX

The statement of functional expense per the tax return differs from the breakout provided by the audit report. At the time of the audit report, management was using a poor coding system and were unable to allocate any further. A new coding system was implemented to allow for more accurate coding, and was done so prior to the 2021 tax return being filed. The tax return uses the improved, more accurate coding.

FORM 990, PART XII, LINE 2C:

The board of directors assumes the responsibility for oversight of the audit of its financial statements and selection of an independent accountant. This process has not changed from prior years.

Financial Statement Notes

PART X, LINE 2:

Rhr is exempt from federal income taxes under section 501(c)(3) of the united states internal revenue code (the "code"), except to the extent it has unrelated business income. In addition, rhr has been classified as a public charity under the code. Should rhr engage in activities unrelated to the purpose for which it was created, taxable income could result. For the year ended december 31, 2021, rhr had no net unrelated business income. Accordingly, no provisions for income tax has been provided in the accompanying financial statements. Gaap requires the evaluation of tax positions taken or expected to be taken in the course of preparing rhr's financial statements and tax return to determine whether the tax positions are more likely than not of being sustained by the applicable tax authority. Tax positions not deemed to meet the more likely than not threshold would be recorded as a tax benefit or expense in the current year. A reconciliation is not provided herein, as the beginning and ending amounts of unrecognized benefits are zero, with no interim additions, reductions, or settlements. Rhr is relying on its tax-exempt status and its adherence to all applicable laws and regulations to preserve that status. However, the conclusions regarding the uncertainty in income taxes will be subject to review and may be adjusted at a later date based on factors including, but not limited to, ongoing analysis of tax laws, regulations, and interpretations thereof. Tax positions taken related to rhr's tax exempt status, unrelated business activities taxable income and deductibility of expenses and other miscellaneous tax positions have ben reviewed, and management is of the opinion that material positions taken would more likely than not be sustained by examination. Rhr recognizes interest and penalities, if any, related to uncertain tax positions as general and administrative expenses. Rhr's informational returns filed with the internal revenue service are generally subject to examination for three years after the later of the due date or date of filing.
