Governance Explanations

Form 990, Part VI, Section A, line 2

Kristen Palma Poth, President/Director, and James Palma, Executive Director, have a family relationship.

Form 990, Part VI, Section B, line 11B

The original annual Form 990 (along with a copy for them to retain for their records), as prepared by an independent public accounting firm, is submitted to the President, Kristen Palma Poth, for her review and signature prior to filing with the IRS. At that same time, a copy of Form 990 is also provided to the Executive Director, James Palma, for his review so any comments, questions, or concerns he may have can be raised before the original signed form is filed.

Form 990, Part VI, Section B, line 12C

In accordance with Articles VI and VII of the Organization's bylaws, annual statements and periodic reviews are conducted to ensure compliance with the conflict of interest policy.

Form 990, Part VI, Section B, line 15A

Independent members of the board of directors review and approve the annual salary of the Executive Director and sole employee James Palma based on comparable salaries of similarly situated persons performing similar duties of similar size non-profit organizations.

Form 990, Part VI, Section C, line 19

The Organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Supplemental Narrative

Additional Explanations

Form 990, Part XI, line 9:

Accrual to Cash Adjustment -18,332.

Form 990, Part IX, Line 24A:

For strategic fundraising purposes, the Foundation moved its annual gala from the fall to the spring. As a result, no gala took place during the fiscal year covered by this return which led to the appearance of a decrease in programatic funding by way of grants for cancer research. Additionally, during the fiscal year covered by this return, the Foundation made prepayments of certain expenses for the 2019 gala. The Foundation's return is prepared on a cash basis of accounting. Therefore, these expenses were reported in Part IX, Line 24a, Column D which gives the appearance of a disproportionate amount of fundraising expenses on the Form 990 relative to expenses as a whole. This presentation will be reversed on the tax return for the fiscal year ending 1/31/20.

IRS990/Desc0The specific purposes of the Organization are to raise awareness of and support for research into rare cancers, and to directly support patients facing rare cancers. This was accomplished in the fiscal year by providing new research grants and through other programs. $35,000 to support Nabeel Bardeesy's cholangiocarcinoma research at the Massachusetts General Hospital Cancer Center, representing the final payment on a $140,000 commitment started in the prior fiscal year. This support marked the eighth year of an ongoing commitment to creating a comprehensive cholangiocarcinoma research program the Bardeesy lab. This commitment focuses funding on the key areas of facilitating the creation and preservation of cell lines and other research models, identifying genetic drivers of cholangiocarcinoma, and translating discoveries into new treatments for patients. $50,000 in support of esophageal cancer research by Adam Bass, MD at the Dana-Farber Cancer Institute. This funding represents the second half of a $100,000 total grant, the first of which was paid in the prior fiscal year. This grant supports research in modeling and targeting chromosomal instability in esophageal adenocarcinoma.$16,000 towards a Conquer Cancer Foundation Young Investigator Grant, supporting an early-career researcher focused on studying cholangiocarcinoma. This grant, in the total amount of $64,000, was funded in collaboration with three other cholangiocarcinoma-focused advocacy organizations. In addition, during this fiscal year, TargetCancer Foundation provided patient assistance grants to patients through its Patient Assistance Fund, and also held the Think Tank on Advancing Gastroesophageal Cancer Research, a two-day scientific meeting designed to foster collaboration and idea generation among 75 researchers and clinicians.

IRS990ScheduleI/SupplementalInformationDetail/ExplanationTxt0The Foundation only awards organizational grants to 501(c)(3) public charities conducting cancer research. Applicants for the Patient Assistance Fund must complete an application demonstrating need and complying with eligibility requirements based on participation in rare cancer clinical trials. The fund is intended to assist with expenses related to non-reimbursed costs of participation in a clinical trial, such as travel expenses. Qualifying expenses of up to $2,500 will be considered for reimbursement.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0Kristen Palma Poth, President/Director, and James Palma, Executive Director, have a family relationship.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1The original annual Form 990 (along with a copy for them to retain for their records), as prepared by an independent public accounting firm, is submitted to the President, Kristen Palma Poth, for her review and signature prior to filing with the IRS. At that same time, a copy of Form 990 is also provided to the Executive Director, James Palma, for his review so any comments, questions, or concerns he may have can be raised before the original signed form is filed.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2In accordance with Articles VI and VII of the Organization's bylaws, annual statements and periodic reviews are conducted to ensure compliance with the conflict of interest policy.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3Independent members of the board of directors review and approve the annual salary of the Executive Director and sole employee James Palma based on comparable salaries of similarly situated persons performing similar duties of similar size non-profit organizations.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4The Organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5Accrual to Cash Adjustment -18,332.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6For strategic fundraising purposes, the Foundation moved its annual gala from the fall to the spring.
