The audit committee meets to review the audit and 990. The board treasurer then reviews the audit and form 990 with the full board, who vote to accept.

Form 990, Part VI, Section B, Line 12C

The organization maintains a conflict of interest policy that protects its interest when entering into a transaction or arrangement with an interested party, defined as "any director, principal officer or member of a committee with governing board delegated powers, who has a direct or indirect financial interest." any interested party signs the policy that acknowledges: 1) receipt of the policy; 2) understanding of the policy; 3) compliance with the policy. Should a party have a conflict of interest, they shall disclose it immediately. After disclosure of the interest and discussion of the facts, the board of directors decides whether or not a conflict exists. The interested party may make a presentation to the board of directors, but may not be in the room at the time the decision is made. The board chair may appoint a disinterested person or committee to investigate alternatives to the transaction or arrangement. If a more advantageous transaction or arrangement can not be made, the board may determine by a vote whether or not the action is in the best interest of the corporation. If the board has reason to believe a party has failed to disclose a conflict of interest, a member may inform the party of the basis for the belief and ask for a response. If it is found that the member has failed to disclose a conflict of interest, the board will take appropriate disciplinary action. All proceedings will be recorded.

Financial Statement Notes

PART X, LINE 2:

The coalition is exempt from federal income tax under section 501(c)(3) of the internal revenue code. Accordingly, there is no provision for income taxes. The organization is not aware of any activities that would jeopardize its tax-exempt status or any activities that are subject to tax on unrelated business income taxes. Donors may deduct contributions to the organization as provided by the internal revenue service code. The coalition follows the guidance in the income tax standard regarding the recognition and measurement of uncertain tax positions. The guidance clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements. The guidance further prescribes recognition and measurement of tax provisions taken or expected to be taken on a tax return that are not certain to be realized. The application of this standard had no impact on the organization's financial statements. The coalition's income tax returns are subject to review and examination by federal and state authorities. The coalition is not aware of any activities that would jeopardize its tax-exempt status.
