THE AUDIT AND FINANCE COMMITTEE SHALL BE RESPONSIBLE FOR THE OVERALL FISCAL POLICIES AND OPERATIONS OF MPN, INCLUDING BUT NOT LIMITED TO THE COMPENSATION REVIEW AND APPROVAL PROCESS FOR CEO, EXECUTIVE DIRECTOR AND TOP MANAGEMENT. THE AUDIT AND FINANCE COMMITTEE ACCOMPLISHES FISCAL RESPONSIBILITY PRINCIPALLY THROUGH THE FOLLOWING ACTIVITES: A) ESTABLISH AND REVIEW FISCAL POLICIES, GUIDELINES, OPERATIONS AND PROCEDURES THAT WILL ENSURE THE FINANCIAL INTEGRITY OF MPN AND FOSTER ITS PURPOSE AND MISSION.

MPN pays a management fee of $100,000 to PRM for management services. PRM provides management services to MPN such as negotiating pricing and arranging for purchase of oncology drugs, as well as supporting the functions of the GPO. Mr. Eavy is not compensated by MPN but was compensated by PRM in the amount of $200,000 during tax year 2012.
