“The sole member of moasc purchase network ("mpn") is medical oncology assoiation of southern california ("moasc"), a 501(c)(6) exempt organization.”

“The member shall have the right to vote, as set forth in the bylaws, on the election of directors, on the disposition of all or substantially all of the assets of the corporation, on any merger and its principal terms and any amendment of those terms, and on any election to dissolve the corporation. In addition, the member shall have all rights afforded members under the california nonprofit mutual benefit corporation law. If the corporation is dissolved, the member shall receive a distribution of all assets remaining after payment or provision for payment of the obligations and debts of the corportaion or any provision for any other payment required under applicable law.”

“The governing body reviews form 990 before it is filed.”

“The conflict of interest policy is on mpn's website, it is password protected to allow access only to moasc members. Conflict of interest policy compliance is managed by the board of directors.”

“Pursuant to section 10.1 of these bylaws, the board may approve two or more directors of the corporation to serve as the audit and finance committee. The audit and finance committee shall be responsible for the overall fiscal policies and operations of mpn, including but not limited to the compensation review and approval process for ceo, executive director and top management. The audit and finance committee accomplishes fiscal responsibility principally through the following activities: a. Establish and review fiscal policies, guidelines, operations and procedures that will ensure the financial integrity of mpn and foster its purpose and mission.”

“Mpn conducts an internal marketplace survey to determine reasonable compensation for membership of the board of directors for similarly situated not-for-profit organizations. Based upon the marketplace comparison, the compensation provided to the board of directors is reasonable for the services rendered to mpn.”

Provided eductional support to moasc members for eduction, patient and provider advocacy. Provided electronic distribution list and discussion group so members can ask questions and get answers from fellow members. Provided online repository which included downloadable forms, templates and fact sheets. Provided website and monthly newsletter to moasc members.”
