Governance Explanations

Form 990, Part VI, Section B, Line 11B

An electronic copy of the federal and state tax returns is provided for review to all board members. Further, the organization's ceo reviews the tax returns, which he approves and signs.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with governing board delegated powers is required to annually sign a statement regarding their conflicts of interest. If a conflict of interest has not been duly disclosed and the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, the board proceeds to inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. Further, if after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, the board or commitee takes appropriate disciplinary and corrective actions.

Form 990, Part VI, Section B, Line 15

The compensation committee consists of the hr director, coo, and cpo. This committee makes every effort to fairly and transparently recommend starting salaries and raises adhering to the budget. They seek input from the manager and use the compensation guidelines outlined in the organization's compensation policy to recommend starting salaries, raises, and promotions to the ceo. The comp committee and ceo agree on the final salary. All salary discussions are treated as confidential.

Form 990, Part VI, Section C, Line 19

The financial statements and tax returns are available upon request, as well as on the organization's website. Governing documents and policies are made available upon request.
