An electronic copy of the federal and state tax returns is provided for review to all board members. Further, the organization's ceo reviews the tax returns, which he approves and signs.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with governing board delegated powers is required to annually sign a statement regarding their conflicts of interest. If a conflict of interest has not been duly disclosed and the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, the board proceeds to inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. Further, if after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, the board or commitee takes appropriate disciplinary and corrective actions.

The compensation committee consists of the coo, cco, finance manger and hr director. This committee makes every effort to fairly and transparently recommend starting salaries and raises adhering to the budget. They seek input from the manager and use the compensation guidelines outlined in the organization's compensation policy to recommend starting salaries, raises, and promotions to the ceo. The comp committee and ceo agree on the final salary. All salary discussions are treated as confidential.

The organization is a not-for profit organization which is exempt from income taxes under section 501(c)(3) of the internal revenue code as other than a private foundation. The organization evaluates its uncertain tax positions on an annual basis, and there have been no recorded uncertain tax positions recorded. SURVEYS OF YIELDS AND INCOMES FROM THE PRIOR 2023 IMPACT ASSESSMENTS DETERMINED THAT AVERAGE AGRIBUSINESS MEMBERS EXPERIENCED A NET INCOME OF $145 USD, OVER A BASELINE OF $13 USD, OR AN INCREASE OF $132 ADJUSTED FOR INFLATION. IN 2024, NURU ETHIOPIA WORKED WITH 28,805 AGRIBUSINESS MEMBERS TO STRENGTHEN RESILIENCE AND ADAPT TO CLIMATE CHANGE IN RURAL COMMUNITIES IN SOUTHERN ETHIOPIA. THE ACTIVITIES FACILITATED ACCESS TO DIGITAL BLENDED LEARNING TOOLS, PROVIDED GOOD AGRONOMIC PRACTICES (GAP) TRAINING FOR MUNGBEANS AND GROUNDNUTS, AND TAILORED EXTENSION SERVICES ACROSS 209 PRIMARY COOPERATIVES AND 5 UNIONS. ADDITIONALLY, NURU ETHIOPIA SUPPORTS SHEEP AND GOAT FATTENING AS PART OF ITS LIVELIHOOD DIVERSIFICATION EFFORTS FOR WOMEN, AIMING TO INTEGRATE GENDER-TRANSFORMATIVE APPROACHES AND ENHANCE HOUSEHOLD INCOME GENERATION. IN 2024, UNIONS SUPPORTED BY NURU ETHIOPIA ACHIEVED AN AVERAGE PROFIT MARGIN OF 5%, UP FROM 3.1% IN 2021, REFLECTING IMPROVED PROFITABILITY AND INCREASED PROFESSIONALISM WITHIN THE UNIONS.IN 2024, NURU KENYA'S INTEGRATED SOCIAL IMPACT ACTIVITIES CONTINUED TO SUPPORT AGRIBUSINESS MEMBERS IN INCREASING THEIR INCOMES AND CROP YIELDS WHILE STRENGTHENING SUSTAINABLE AGRIBUSINESSES. NK-SUPPORTED COOPERATIVES INCLUDED 6,130 AGRIBUSINESS MEMBERS IN 61 COOPERATIVES WITH ACCESS TO INPUT LOANS FOR CROP AND DAIRY PRODUCTION, TAILORED EXTENSION SERVICES, AND SAVINGS BEHAVIOR PROMOTION. IN 2024, NURU KENYA CONTINUED TO EXPAND ITS OPERATIONS IN BARINGO COUNTY, SUPPORTING 28 COOPERATIVES ENGAGED IN DIVERSE VALUE CHAINS, INCLUDING BEEKEEPING, LIVESTOCK (SHEEP, GOATS, AND DAIRY), FODDER PRODUCTION, MEAT PROCESSING, AND CROP FARMING. AN INITIAL SCOPEINSIGHT ASSESSMENT OF 18 COOPERATIVES IN THE AREA YIELDED AN AVERAGE PROFESSIONALISM SCORE OF 2.6 OUT OF 5.0, HIGHLIGHTING OPPORTUNITIES FOR GROWTH. NURU KENYA AIMS TO STRENGTHEN COOPERATIVE CAPACITY AND SUSTAINABILITY, ENABLING THEM TO EFFECTIVELY SERVE THEIR MEMBERS. IN 2024, NURU BURKINA FASO WORKED WITH AGRIBUSINESS MEMBERS TO ADAPT TO CLIMATE CHANGE AND BUILD RESILIENCE THROUGH INCREASED AGRICULTURAL PRODUCTIVITY. THE INTERVENTION CONTINUED OPERATIONS IN 3 MUNICIPALITIES IN CENTRAL BURKINA FASO, WORKING WITH 2,610 AGRIBUSINESS MEMBERS THROUGH 20 AGRIBUSINESS COOPERATIVES. NURU BURKINA FASO ESTABLISHED SOYBEAN AND GROUNDNUT DEMONSTRATION PLOTS DEMONSTRATING GOOD AGRONOMIC PRACTICES (GAP) AND CLIMATE-SMART AGRICULTURE (CSA) PRACTICES. NBF REFRESHED TRAINING TO COOPERATIVES ON GOOD AGRONOMIC PRACTICES (GAP) AND CLIMATE-SMART AGRICULTURE (CSA) OF GROUNDNUT AND SOYBEAN CROPS, COOPERATIVE DEVELOPMENT, FINANCIAL INCLUSION, AND HEALTHY BEHAVIORS. ADDITIONALLY, 72% OF GROUNDNUT AND SOYBEAN FARMERS REPORTED THAT THEY ADOPTED 3 OUT OF 5 OF CLIMATE-SMART AGRICULTURAL PRACTICES, WHICH CAN LEAD TO IMPROVED OVERALL SOIL HEALTH AND INCREASED YIELDS.IN 2024, NURU GHANA LAUNCHED ITS FIRST YEAR OF IMPACT ACTIVITIES IN THE UPPER EAST REGION OF GHANA.
