The board of transplant foundation, an affiliated entity, has the right to appoint members of the transplant house governing body.

The following actions by the board of directors require the written approval of the transplant foundation, an affiliated entity: a) altering, amending, or repealing the articles of incorporation and/or bylaws; b) borrowing money under terms that provide for a repayment period of one year or more; c) adopting an operating budget and/or a capital budget; d) incurring capital expenditures which, in the aggregate, are in excess of $200,000 in any one fiscal year; e) organizing or acquiring any subsidiary or affiliate; f) acquiring, by whatever means, an interest in any other entity or becoming a member of any other nonprofit corporation; g) authorizing or designating officers of the corporation to execute a deed of assignment for the benefit of creditors, file a voluntary petition in bankruptcy, file an answer consenting to the appointment of a receiver, or file an answer to an involuntary petition in bankruptcy; and h) authorizing any and all transactions that change, or have the effect of changing, the ownership and/or control of the corporation, with such a transaction including, but not being limited to any proposed attempt to merge, acquire or combine the corporation with any other entity, whether such transaction is by contract, sale of all or substantially all of its assets, or by operation of law.

Gift of life family house serves as a "home away from home" for transplant patients and their families by providing temporary, affordable lodging and supportive services to those who travel to philadelphia, pennsylvania for transplant-related care. Gift of life family house is a 501(c)(3) non-profit charitable organization. Gift of life family house enhances the lives of transplant patients and their families by: - providing comfortable and affordable lodging in a warm, friendly atmosphere which includes a private bedroom and facilities for cooking, laundry and recreation - offering an emotional support system through a network including other families at the family house undergoing the transplant journey, staff and volunteers - helping families to re-establish a sense of control and accountability by creating a cooperative and supportive atmosphere where they not only experience the benefits of the family house, but also support its operations by maintaining their own rooms and assisting with the general tidiness in common areas. - maintaining a network for family members and caregivers outside the walls of the family house through the family house caregiver lifeline program, an integrated network of online educational resources, community based outreach programs and support services in the gift of life service area tailored specifically to caregivers of transplant patients

3. Home cook heroes program: born out of the realization that most transplant families don't have the time or money to grocery shop and prepare a healthy meal after a long day at the hospital, the home cook heroes program is an essential means of healthy support for our guests. In addition to a fully stocked pantry, this program offers our families a home-cooked meal every evening, along with brunch on the weekends, to provide our guests the opportunity to decompress and share their experiences with other families going through the transplant journey. It also provides a unique opportunity for community groups - from schools to companies to families and friends - to get together and support the family house mission by preparing and serving meals to our guests. Home cook heroes are essential in helping us ensure that no transplant family goes hungry during their stay in philadelphia. The gift of life family house is proud to have served over 19,094 meals to through its home cook heroes program in 2017. 4. Adopt-a-family program: gift of life family house provides home-like accommodations and a supportive community for transplant families, all for a subsidized fee of $40 a night through the generous supporters of our adopt-a-family program. Unfortunately, one in five families cannot afford even this modest nightly fee. However, no family is ever turned away due to an inability to pay. The adopt-a-family program also helps bridge the gap between our nightly fee and what a family can afford so that all eligible families are able to receive the loving care that the family house provides. In 2017 alone, through generous contributions, the family house supplemented $1,434,909 worth of programs and services to bridge the gap between the modest revenues paid by families and the actual cost to care for these families. 5. Volunteers: volunteers are essential to the family house mission of providing a "home away from home" to transplant families. Each year, thousands of volunteers dedicate their time, talents and resources to supporting families both at the family house and in their own communities. Within the family house, volunteer opportunities include meal preparation through the home cook heroes program, guest services, shuttle operations, evening activities, kitchen specialists and more. In 2017, in-house volunteers have donated more than 14,396 hours of service. Additionally, family house volunteers also work tirelessly within their own communities to help raise critical funds through the coordination and execution of fundraising events. Each year hundreds of volunteers help keep the family house stocked with basic home necessities, food and kitchen supplies through the organization of 'wish list' drives. Advisory board the gift of life family house advisory board is comprised of fourteen individuals including organ recipients and family members of transplant recipients, living donors, healthcare executives, and community representatives committed to our mission. Leadership for gift of life family house has been thoughtfully selected to include those individuals who have been directly touched by organ donation and those individuals who understand the critical need for how the family house impacts and improves patient and family satisfaction and survival during this challenging period.

Transplant house is an affiliate in a group, including the transplant foundation (ein: 31-1481798) and the gift of life donor program("gldp," ein: 23-7388767), of which gldp is considered a common pay agent for w-2 reporting. Gldp reports all employees on its form w-3; however, each affiliate has employees allocated to that entity. Per irs instructions, employees listed on part v, line 2a are those who have been deemed to be employees of this organization. The salary expense and benefits reported in part ix of form 990 are an allocation from gldp.

GIFT OF LIFE DONOR PROGRAM (GIFT OF LIFE) WAS ESTABLISHED IN 1974 TO IMPROVE THE EFFICIENCY OF RECOVERING AND SHARING KIDNEYS TO ITS CONSTITUENTS IN THE TRI-STATE AREA COMPRISED OF THE EASTERN HALF OF PENNSYLVANIA, SOUTHERN NEW JERSEY AND THE ENTIRE STATE OF DELAWARE. DURING THE PAST THREE DECADES, GIFT OF LIFE EXPANDED ITS SERVICES TO SUPPORT THE DONATION OF ALL ORGANS AND TISSUE. SINCE 1974, GIFT OF LIFE DONOR PROGRAM HAS COORDINATED MORE THAN 44,000 LIFE-SAVING ORGAN TRANSPLANTS AND HUNDREDS OF THOUSANDS OF LIFE-ENHANCING TISSUE TRANSPLANTS. GIFT OF LIFE DONOR PROGRAM IS THE LEADING ORGAN PROCUREMENT ORGANIZATION (OPO) IN THE UNITED STATES FOR THE 10TH CONSECUTIVE YEAR, WITH THE SUCCESSFUL COORDINATION OF LIFE-SAVING ORGANS FROM 565 ORGAN DONORS IN 2017. THESE SELFLESS GIFTS RESULTED IN 1,546 ORGANS TRANSPLANTED - THE MOST ORGAN DONORS AND TRANSPLANTS OF ANY OPO IN THE NATION IN ONE YEAR. IT REPRESENTS AN ONGOING LEGACY OF NEW BEGINNINGS FROM GRIEVING FAMILIES TO THOSE AWAITING THE "GIFT OF LIFE".IN 1998, GIFT OF LIFE'S BOARD OF DIRECTORS ESTABLISHED THE TRANSPLANT FOUNDATION AS THE CHARITABLE ARM TO SUPPORT ITS PROGRAMS THROUGH EDUCATION, RESEARCH, SERVICES TO DONOR FAMILIES AND RECIPIENTS AND AS A STEWARD FOR BROADER COMMUNITY AWARENESS AND FUNDRAISING ACTIVITIES REGARDING ORGAN AND TISSUE DONATION. ONE INITIATIVE IDENTIFIED AT THE TIME OF INCORPORATION WAS THE CREATION OF A RONALD MCDONALD HOUSE TYPE OF PROGRAM TO SERVE THE FAMILIES OF PATIENTS AWAITING TRANSPLANTS AND RECEIVING FOLLOW-UP CARE IN THE PHILADELPHIA REGION. BOTH THE GIFT OF LIFE DONOR PROGRAM AND TRANSPLANT FOUNDATION BOARDS APPROVED MOVING FORWARD WITH THE PURCHASE OF PROPERTY AT 401-415 CALLOWHILL IN JUNE 2007 FOR THE FUTURE SITE OF GIFT OF LIFE FAMILY HOUSE. FUNDS FOR THE LAND PURCHASE WERE PROVIDED BY A GRANT FROM TRANSPLANT FOUNDATION. CONSTRUCTION OF GIFT OF LIFE FAMILY HOUSE COMMENCED IN THE FALL OF 2009 AND ITS DOORS OFFICIALLY OPENED TO TRANSPLANT PATIENTS AND THEIR FAMILIES IN JULY 2011. THE FAMILY HOUSE FEATURES THIRTY (30) GUEST ROOMS, SERVING UP TO FOUR FAMILY MEMBERS PER ROOM, AND PROVIDES A PLACE WHERE FAMILIES UNDERGOING SIMILAR EXPERIENCES CAN SHARE TIME TOGETHER WHILE THEIR LOVED ONES ARE AWAITING OR UNDERGOING THEIR LIFE-SAVING TRANSPLANT. A LARGE COMMUNAL KITCHEN AND DINING ROOM ALLOW FAMILIES TO INTERACT WITH EACH OTHER AND FIND THE SUPPORT AND STRENGTH THEY NEED TO HELP THEM NAVIGATE THIS EXTREMELY CHALLENGING SITUATION. ADDITIONAL FAMILY HOUSE SERVICES INCLUDE: VAN TRANSPORTATION TO/FROM THE HOSPITALS, SECURE PARKING, LAUNDRY FACILITIES, AN INDOOR ACTIVITY CENTER, FITNESS CENTER, WIRELESS COMPUTER/INTERNET ACCESS AND LIBRARY AND LEARNING RESOURCES.
