KHSI promotes strong, culturally relevant, community-based human service systems and equal rights for children, adults, and families throughout the world so that all people can fill culturally valued roles and have equal access to all society has to offer.

Directors may serve a maximum of nine cumulative years, excluding years in service as an officer of the board or as an officer of the parent. Vacancies occurring between meetings of the board of directors of the parent may be filled by the board of directors of the corporation subject to ratification of the parent for the unexpired term

Form 990, Part VI, Section B, line 11B

The khs board has governance responsibility for the engagement of independent auditors and acceptance of the audit report for khs and all subsidiaries. The keystone human services audit committee is established to provide management of the audit process and the organization's system of internal controls. Internal control is comprised of all policies and procedures designed to assure the integrity of financial and operational accountabilitiy. Financial accountability is comprised of policies and procedures relating to the financial management functions designed to asssure that financial transactions which flow from the services provided are executed and reported in compliance with all applicable regulations. This includes that accounting records and related financial reports are accurate representations of the executed transactions. In accordance with the foregoing responsibility of the khs audit committee and in compliance with the new form 990 governance implicit recommendation, the form 990 of each khs entities will be reviewed prior to filing. Salary note regarding president and officers: benefits include accrued expense pursuant to irs 457b and 457f deferred compensation retirement plans. Executive compensation is allocated to specific program areas pursuant to regulatory and/or contract caps on participation in executive compensation.

Form 990, Part VI, Section B, line 12C

Policy: it is the policy of khs and all of its subsidiaries that no director or officer shall profit financially or appear to profit financially (beyond approved compensation) as a result of their association with khs. It is khs's intent to engage in financial transactions with directors and officers only when it is clearly within the best interests of khs to do so or when the transactions are both non-material and non-adverse to khs. Procedures: service with competing organizations: in order to protect khs from the risk of unfair competition or anti-trust liabilities, paid directors and officers shall not serve as directors of competing organziations that do business or regularly submit competitive proposals in areas where khs is active. If a volunteer director or officer serves as a director of a competing organization, that role shall be disclosed to the vice president of quality and corporate integrity and the board of directors of each of the organziations and that director or officer shall abstain from discussions and voting on issues applicable to both organizations. Confidential information: directors and officers may have access to confidential information about persons served and employees. Directors and officers shall not divulge any such information to unauthorized persons and shall not publish, discuss, or otherwise make public or disclose any such confidential information. Proprietary information: information not otherwise made public but disclosed to directors and officers about khs's particular processes, services, proposals, operations, methodologies, plans, policies, and programs is proprietary, privileged and/or confidential. Except as required by their duties, and is authorized by the corporate president and/or chief executive officer, no current or past directors or officers may directly or indirectly use, disseminate, disclose, lecture upon, or publish information concerning any such privileged, proprietary and/or confidential information or knowledge. In the event a director or officer does not follow the procedures as outlined above there may be termination of the appointment to the board or of employment. Disclosure: directors and officers shall timely disclose in writing to the vice president of quality and corporate integrity, all circumstances that constitute an actual, potential or perceived conflict of interest. In addition, the compliance department will circulate the annual disclosure statement. All board members, directors and officers must complete the statement upon affiliation with the organziation and annually thereafter. Disclosure statements shall be completed annually and forwarded to the corporate compliance department.

IRS990/Desc0INDIA: KHSI has partnered with The Hans Foundation since 2015 to strengthen the inclusion of people with disability in India. This is being accomplished through the development of Keystone Institute India, a program of KHSI. This national educational institute on disability, community, and innovation provides training and consultation related to the creation of responsive community supports for men, women, and children living in India with disability. The institute is structured around a shared vision of strengthening disability partners, fortifying the national movement toward building an inclusive India, and identifying and developing strong next-generation leaders. With three local staff, and a director who spends 6 months out of the year on the ground in India, the program team has been traveling throughout India, conducting training and capacity building sessions for people with disability, family members, professionals, and community groups from 20+ states in training events and to date. Over the past year (FY17), 29 data collection engagement sessions were conducted throughout India to inform a snapshot report on the viewpoints people hold about disability throughout India. Over 1366 participants have participated at Keystone Institute India educational events and consultations, for a total of over 5650 participant hours. Each session has provided a rich opportunity to listen deeply to the experiences, perspectives, dreams, and action recommendations of a diverse group of citizens.

IRS990/ProgSrvcAccomActy2Grp/Desc0MOLDOVA:Founded in 2003 as a subsidiary of KHSI and a registered non-governmental organization in Moldova, KHSI Moldova provides community-based services and supports for children, adults, and families living in difficult social situations. Keystone Moldova also works with national and local governments to develop a framework for a sustainable, community-based service system so people with disability can lead full, meaningful lives in the community. In FY17 Keystone Moldova managed 10 integrated projects, supported financially by Keystone Human Services International US, European Union, Open Society Foundations, Soros Foundation Moldova, FHI 360/USAID, I'M Swedish Development Partner. The projects were focused on the following areas: Deinstitutionalization and prevention of institutionalization; Promotion of rights of persons with disabilities; Inclusive Education; Empowering persons with disabilities for advocacy and self-advocacy; Promotion of social entrepreneurships; Media advocacy, and Networking for social inclusion of persons with disabilities. Through all of this work, Keystone Moldova is assisting the Moldovan government put into effect policies and practices regarding the rights of people with disabilities, in particular, focusing on the unjust institutionalization of children and adults with intellectual disabilities. In addition, Keystone Moldova services also include a Children & Family Center in the village of Tudora where educational and social inclusion services are provided to children and parents from vulnerable families. Psychological and other services are also available to the parents of the children attending the Center.

IRS990/ProgSrvcAccomActy3Grp/Desc0kHSI ADMINISTRATION:KHSI provides the infrastructure from a programmatic and administrative standpoint to organize professionals in the field of human services in foreign countries to meet the needs of citizens with disabilities. KHSI is the Founder of, and provides managerial oversight for a nongovernmental organization (NGO) in Moldova, Keystone Human Services International Moldova Association (KHSIMA), with offices in Chisinau, and a Liaison Office in India, KHSI - LO India, with offices in New Delhi. Both offices file required regulatory financial reports, maintain bank accounts, and conduct general business affairs. The Founder does not have access to the subsidiary's bank accounts. Keystone Moldova and Keystone India LO receive funding through grants which are pursued independently (Moldova) and in partnership with KHSI (both). Additionally, KHSI implements its own grant programs and provides consulting services in other countries outside of the United States.
