Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by the outside accountants and reviewed by the finance and administrative officers. A final copy of the return was provided to the board before it was filed with the irs.

Form 990, Part VI, Section B, Line 12C

Each director and officer is required to review a copy of the conflict of interest policy, which requires each person to disclose any relationships, positions or circumstances which he or she believes could contribute to a conflict. Following full disclosure of a possible conflict of interest, the board of directors determines whether a conflict of interest exists and, if so, the board votes to authorize or reject the transaction or take any other deemed action necessary to address the conflict and protect the institute's best interests. The same conflict of interest policy applies to employees.

Form 990, Part VI, Section C, Line 19

The institute makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

FORM 990, PART VII, SECTION A:

During 2020, the board was reconstituted to include additional members and officers.

IRS990/Desc0- BIOGENEIUS CHALLENGE: KNOWN AS THE INSTITUTE'S "FLAGSHIP" PROGRAM, THE BIOGENEIUS CHALLENGE PROVIDES HIGH SCHOOL STUDENTS THE OPPORTUNITY TO COMPETE AND BE RECOGNIZED FOR OUTSTANDING RESEARCH IN BIOTECHNOLOGY. HAVING COMPLETED ITS 18TH YEAR AS A PROGRAM MANAGED AND HOSTED BY THE INSTITUTE, PARTICIPANTS - OVER 1100 HIGH SCHOOL STUDENTS TO-DATE - DESIGN AN ORIGINAL INDEPENDENT BIOTECH RESEARCH PROJECT THAT IS JUDGED BY AN EXPERT PANEL. THE TOP PARTICIPANTS SHOWCASE THEIR RESEARCH AT THE BIO INTERNATIONAL CONVENTION TO OVER 16,000 CONVENTION ATTENDEES.IN 2010, THE INSTITUTE RESTRUCTURED THE BIOGENEIUS CHALLENGE TO WORK DIRECTLY WITH STATE PARTNERS, SPECIFICALLY STATE BIOSCIENCE ORGANIZATIONS. THIS NEW MODEL, DESIGNED TO BE A SUSTAINABLE RESOURCE NETWORK BY WORKING WITH AND THROUGH STATE ORGANIZATIONS, HAS HAD GREAT SUCCESS. THE RESULT OF OUR PARTNERSHIPS HAS BEEN A DRAMATIC INCREASE IN THE NUMBER OF BIOGENEIUS PARTICIPANTS. THE 2019 INTERNATIONAL EVENTS TOOK PLACE IN CONJUNCTION WITH THE BIO INTERNATIONAL CONVENTION (JUNE 3-6, 2019, PHILADELPHIA, PA).IN AN EFFORT TO PROVIDE INCREASED SUPPORT TO THE LOCAL PARTNERS AND ENSURE CONTINUED INCREASED STUDENT PARTICIPATION, LOCAL PARTNERS ARE LIMITED TO FOURTEEN AND AN ENHANCED ONLINE APPLICATION AND WEBSITE WAS BUILT. THIS NEW WEBSITE PROVIDES LOCAL PARTNERS FLEXIBILITY AND ACCESS TO THEIR COMPETITION DATA AND ALLOWS BIO STAFF TO FOCUS ON SUPPORTING THE PARTNERS AND STUDENTS. THE WEBSITE WAS REVAMPED IN 2015 TO EXPAND THE APPLICATION CAPABILITIES AND PROMOTE THE PROGRAM'S THREE BIOTECH PROJECT TRACKS: HEALTHCARE, SUSTAINABILITY AND ENVIRONMENT.

THE BIOTECHNOLOGY INSTITUTE HAS RECENTLY UNDERTAKEN SIGNIFICANT EFFORTS TO ATTRACT NEW AND ADDITIONAL PUBLIC SUPPORT. IN AN EFFORT TO DIVERSIFY FUNDING, IT HAS EXPANDED THE BIOGENEIUS CHALLENGE, TRADITIONALLY A HEALTHCARE COMPETITION FUNDED PRIMARILY BY PHARMACEUTICAL COMPANIES INTO TWO NEW CATEGORIES. THE NEW ENVIRONMENTAL AND SUSTAINABILITY CATEGORIES OF THE COMPETITION MAKE THE BIOTECHNOLOGY INSTITUTE MORE ATTRACTIVE TO POTENTIAL DONORS IN THOSE AREAS OF THE BIOTECH INDUSTRY. DONORS ARE MORE PRONE TO FUNDING THE NEWLY STRUCTURED COMPETITION BECAUSE IT FOSTERS THE DEVELOPMENT OF FUTURE LEADERS IN THEIR PERSPECTIVE INDUSTRIES. ADDITIONALLY, THE INSTITUTE HAS AN INCREASED SOCIAL MEDIA PRESENCE. THIS ALLOWS THE INSTITUTE TO OFFER DONORS EXPANSIVE MARKETING OPPORTUNITIES ON SOCIAL MEDIA PLATFORMS AS AN ADDED BENEFIT OF SPONSORSHIP.BIOTECHNOLOGY INSTITUTE'S PUBLIC SUPPORT, AT 11.60% IS ABOVE THE 10% MINIMUM REQUIRED FOR THE "FACTS AND CIRCUMSTANCES" TEST, THEREBY MEETING THE REQUIREMENT OF SEC. 1.170A-9(F)(3)(III). IN MEETING THE REQUIREMENT OF SEC. 1.170A-9(F)(3)(I), THE BIOTECHNOLOGY INSTITUTE HAS RECEIVED SUPPORT FROM A REPRESENTATIVE NUMBER OF PERSONS, RATHER THAN RECEIVING ALL OR MOST OF ITS SUPPORT FROM THE MEMBERS OF A SINGLE FAMILY OR FROM A SINGLE DONOR. BIOTECHNOLOGY INSTITUTE'S CURRENT FUNDRAISING PLANS ARE TARGETED AT A BROAD BASE OF DONORS. IN THIS RESPECT, BIOTECHNOLOGY INSTITUTE MEETS THE REQUIREMENT OF SEC. 1.170A-9(F)(3)(III)(B).THE BIOTECHNOLOGY INSTITUTE REMAINS AN ORGANIZATION COMMITTED TO SERVING THE PUBLIC THROUGH ITS WORK. THE BIOTECHNOLOGY INSTITUTE HAS SET A COURSE TO BE THE RECOGNIZED LEADER IN BIOTECHNOLOGY EDUCATION AT THE NATIONAL LEVEL.
