Governance Explanations

Form 990, Part VI, Section B, line 11

After the annual audit has been finalized, a preliminary draft of the Form 990 is prepared and provided to the board. The form is then reviewed by the board and the organization's President. Once the board determines that the form is complete and accurate, the form is finalized and signed by the President prior to filing with the Internal Revenue Service.

All officers are required to disclose any conflicts of interest on an annual basis.

The President's wage is determined by a written contract negotiated with the Compensation Committee who approves it and makes recommendation to the entire Board. These have been five year contracts. Yearly, the compensation committee reviews any bonus provisions of the President's contract and determines if he met certain bonus criteria, if so, they make recommendation to the entire Board. Prior to the last contract, the President did provide a salary comparison with similar positions throughout the state. However, this was not required. The President annually reviews the two employees' service and recommends any increase or decrease to their salary. This could be in the form of bonus or merit raises. This recommendation is made to the compensation committee who reviews the info from the President and makes recommendation to entire Board. All salary and bonus decisions are made at the first Board meeting of the new year.

Financial Statement Notes

Part X, Line 2:

The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under that guidance, the Organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Organization and various positions related to the potential sources of unrelated business taxable income (UBTI). Tax benefits would be recognized in the financial statements from such a position and be measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities for the year ended June 30, 2016.

IRS990/Desc0Threshold Housing Development's (THD) purpose is to acquire, develop, hold, operate, maintain, and manage real and personal property.THD's mission is to develop, promote, encourage or enhance the level of self-sufficiency of low income, disabled, or elderly individuals and families through developing affordable, efficient housing units, for both rental and ownership by low income families or individuals. Threshold accomplishes its mission through various methods. For over the past 10 years THD has successfully managed a Self Help Housing program. The purpose of this program is to assist local low income families to build their own homes. These are two year grants. THD assists 6 families each year. The lots are provided to the families at no cost from THD through receipt of other grants. Mortgage funds are provided by USDA over 33 years and with interest rates as low as one percent depending on their income. All families have incomes at 80% of median income or below.Additional new construction is completed by THD through the use of DCED HOME grants. The most recent example of this is Stone Church Estates , a 23 lot mixed income subdivision. THD used a $500,000 DCED HOME grant, a $120,000 bank loan and $80,000 in Act 137 funds to purchase and develop a 19 acre piece of property into 23 building lots. 18 of these lots were deeded to low and very low income self help families (as described above). The remaining five lots were used to build 5 homes for sale to local families. THD developed two similar subdivisions in Crucible, Greene County.THD also creates affordable housing through purchase, rehab, and resale of single family homes. THD has produced this type of housing using various types of funding. The most recent project is the Washington Homeownership Program. THD uses HOME funds from the Washington County Redevelopment Authority to purchase, rehab, and resale single family homes to local low income families. THD purchases aging and vacant homes, brings them into code compliance and provides down-payment and closing cost assistance to low income buyers. Typically the assistance is 17% of sale price plus closing costs. The families need to provide only 3% plus qualify for an 80% mortgage. They are all first time homebuyers and have incomes at 80% of median income or below. THD has run similar programs over the years in Fayette County.THD has also developed rental housing over the years including a 12 unit development for the elderly in Charleroi, a 5 unit family project in Washington, Pa, and a 5 unit family project in Uniontown.In total THD has created in excess of 300 units of affordable housing since its creation in September of 1991.

Under that guidance, the Organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Organization and various positions related to the potential sources of unrelated business taxable income (UBTI). Tax benefits would be recognized in the financial statements from such a position and be measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities for the year ended June 30, 2016.

These have been five year contracts. Yearly, the compensation committee reviews any bonus provisions of the President's contract and determines if he met certain bonus criteria, if so, they make recommendation to the entire Board. Prior to the last contract, the President did provide a salary comparison with similar positions throughout the state. However, this was not required. The President annually reviews the two employees' service and recommends any increase or decrease to their salary. This could be in the form of bonus or merit raises. This recommendation is made to the compensation committee who reviews the info from the President and makes recommendation to entire Board. All salary and bonus decisions are made at the first Board meeting of the new year.
