The organization hired an independent third-party management company during the prior fiscal year. First service residential, inc. Managed the property for the entire current fiscal year.

Hidden valley foundation inc is a pennsylvania non-stock, non-profit corporation incorporated july 5, 1984 with a declaration of covenants, conditions and restrictions made on march 14, 1985. The foundation is the umbrella corporation which has been organized to provide all maintenance and recreational services for those properties that are for the common use of all memebers of hidden valley foundation, inc. A master homeowners' foundation. The foundation's documents provide for three classes of membership. Class a members are owners of residential property and are entitled to one vote for each property owned. The class b member and developer is entitled to 6000 votes. Class b membership shall cease and terminate when the total class a votes equal the the total of class b votes, or january 1, 2020 whichever occurs first. Class c members are limited members who have not consented to become full members of the foundation and are entitled to vote on limited matters.

Members are owners of residential property and are entitled to one vote per property. The developer maintains 6000 class b votes until class a votes equal class b votes or january 1, 2020. Class c members are limited members.

Members have limited ability to approve decisions of the governing body. Members do not have the right to approve the daily business of the board. The only other meeting at which members may cast a vote is at the annual meeting. Members may not otherwise vote at the regular bi-monthly board meetings.

The audit and finance committees of the foundation meet to review the form 990 in detail and make recommendations for reporting changes to the board and the return preparer.

The foundation has implemented a conflict of interest policy in year 2008-2009 and reviews annually upon election of managing body.

All employees are employed by a third party management company. The board authorizes an overall percentage increase for the management company employees providing services to the foundation. Annually, the board reviews performance of the management company employees, which is in turn is used as a basis for determining salary increases. This includes the foundation's executive director, who is an employee of the management company.

There are no longer any key employees as the executive director is now an employee of the third-party management company. Officers do not receive any compensation for their services.
