Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee, when necessary or desirable between meetings of the board, have and perform all the powers and duties of the board; provided, however, that the executive committee shall not have any of the powers specifically reserved to the board by law or these by-laws or the power to alter the fundamental policies of the board. The establishment of an executive committee and the delegation thereto of power and authority shall not relieve any trustee of his fiduciary relationship and responsibility to the academy, and each trustee shall discharge his duties in good faith and with that diligence, care and skill which an ordinarily prudent person would exercise under similar circumstances.

Form 990, Part VI, Section A, Line 7A

An individual elected president of the alumni council shall commence to serve a three year term as trustee on the july 1 next following the assumption of office as president of the alumni council. Pursuant to the affiliation agreement dated august 11, 2016 between fox chapel country day school inc. (hereinafter referred to as "fccds") and the academy, the individual who was the president of the fccds board of trustees as of august 11, 2016 (in consultation with the head of school of fccds) shall elect (i) two trustees to serve terms beginning july 1, 2016, (ii) two trustees to serve terms beginning july 1, 2017, (iii) two trustees to serve terms beginning july 1, 2019 (which trustees may be the same trustees elected pursuant to section 1.10(a)(i)), and (iv) two trustees to serve terms beginning july 1, 2020 (which trustees may be the same trustees elected pursuant to section 1.10(a)(ii))

Additional Explanations

FORM 990, PART XII, QUESTION 2C, FINANCIAL STATEMENTS AND REPORTING:

As a sub-committee of the finance committee, the audit committee is charged with the selection of an outside independent audit firm. This is reviewed annually and, based on contract terms with the current firm at the time, the committee determines when to negotiate continued rates and/or to request bids from other firms. Prior to the release of the final financial statements the audit committee meets with the audit team from the independent audit firm as well as management charged with audit responsibilities to review and discuss the draft financial statements and the audit process. This process has not changed from prior year.

Financial Statement Notes

PART III, LINE 4:

Shady side academy maintains archives of old photos and school records of the academy. All of the campuses display photos and artwork by mainly former students or alumni. These archives preserve the history of the academy and further it's exempt purpose.

PART V, LINE 4:

The academy's endowment consists of various investment funds established primarily for support of the organization's mission. It includes donor-restricted endowment funds. As required by generally accepted accounting principles, net assets associated with endowment funds, including funds designated by the academy to function as endowments, are classified and reported based on the existence or absence of donor-imposed restrictions. Interpretation of relevant law - the trustees of the academy have elected to be governed by the commonwealth of pennsylvania's act 141 (act 141), a total return policy that allows a nonprofit to choose to treat a percentage of the average market value of the endowment's permanently restricted investments as income each year. The long-term preservation of the real value of the assets must be taken into consideration when the board elects the amount. On an annual basis, the executive committee of the board, in writing, must elect a spending rate of between 2% and 7%. In accordance with act 141, the academy annually transfers between 4% and 7% of the previous three years' market value average of the restricted endowment fund. This percentage is applied to a 12-quarter average market value of the investments at june 30 of the previous year. The academy classifies as net assets restricted in perpetuity endowment funds the original and subsequent value of gifts donated to the endowment. In accordance with act 141, the academy has adopted a written investment policy, of which a section specifically relates to the endowment fund. The academy considers the following factors in making a determination to set a spending rate: 1. Protecting the corpus of the endowment fund. 2. Preserving the spending power of the assets. 3. Obtaining maximum investment return with reasonable risk and operational consideration. 4. Complying with applicable laws.

PART X, LINE 2:

The academy is a not-for-profit entity and has been recognized as tax-exempt pursuant to section 501(c)(3) of the internal revenue code. The academy has not identified any material uncertain tax positions requiring an accrual or disclosure in the financial statements. There were no interest or penalties recognized in the statements of activities for the years ended june 30, 2023 and 2022. Management believes that the academy is no longer subject to income tax examinations for tax years prior to 2020.

WE OFFER PITTSBURGH-AREA FAMILIES FOUR CAMPUSES, INCLUDING THE CHOICE BETWEEN TWO ELEMENTARY SCHOOLS (PK-5): THE COUNTRY DAY SCHOOL IN FOX CHAPEL, NESTLED IN THE NORTH SUBURBS, AND THE JUNIOR SCHOOL IN POINT BREEZE, LOCATED IN THE HEART OF THE CITY'S EAST END.
