Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization's bylaws were amended during the current year to incorporate the following changes: term limits for directors have been set. No director shall serve more than two consecutive terms, provided however that any director serving the first year of a term as an officer of the corporation during his or her last year of the second consecutive term as a director, may serve one additional consecutive year as a director in order to complete two years of service as an officer of the corporation. While directors may participate in a meeting of the board or by any committee by phone, new directors are now required to attend at least two meetings of the board or any committee in person before participating in a meeting by phone. The board shall now establish an executive committee, resource development committee, finance committee, audit committee, governance committee, and such other committees as the board may from time to time deem appropriate. Committees must consist of one or more board memebers and may consist of one or more non-board members. Committees have and may exercise all or some of the powers and authority of the board. After the annual meeting of the board of directors, a calendar will be established designating the board meeting or meetings at which various board functions shall be reviewed and acted upon, including but not limited to the annual audit, strategic planning, the annual budget, nomination of directors, fundraising, evaluation of the executive director, evaluation of the board of directors, the annual retreat, if any, and such other functions as the board of directors may from time to time deem appropriate.

The form 990 is reviewed internally by the family resources' finance manager. Upon his review the return is reviewed by the finance committee of the board. The completed form 990 is then provided to the full board prior to filing with the irs.

The board members annually complete a conflict of interest document that is maintained by the board president. The board members monitor themselves and withhold their votes when they have a conflict of interest with the issue of discussion.

The executive director and other top management official(s) pay levels are determined by the hr department, based upon researching compensation for similar roles of various non-profit agencies, specifically, information provided by compensation information included in regional surveys. On an annual basis, the family resources board of directors finance committee will be apprised of a recommended base pay adjustment, which upon approval, will be applied in conjunction with the annual performance review season. The executive director is also evaluated annually. Other officers or key employee pay levels are determined by the hr department studying compensation of various nonprofit agencies. The board will give the directive that a certain percentage can be used that year for raises. Hr then uses a rating system to distribute the raises to all employees. Raises are determined by performance appraisal ratings and then approved by the personnel committee.

The organization's financial statements are audited by an independent accounting firm. The audit is reviewed by the finance committee following its completion and the committee makes a recommendation to the full board for the approval of the audit. OUR SERVICES ARE CHILD-FOCUSED, FAMILY-CENTERED, CULTURALLY COMPETENT, COLLABORATIVE WITH OTHER SYSTEMS AND WORK TO KEEP EACH CHILD IN THE HOME.
