Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall consist of the officers of the board as well as the executive director as an ex-officio member. The executive committee shall conduct the business of the board.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm and then reviewed by the finance committee. After discussion and any necessary changes, the committee makes a recommendation for approval, then forwards the complete form 990 and all required schedules as they recommend they be filed to the entire board for review. Prior to filing all voting board members are provided a copy of the return as it will be filed with the irs.

Form 990, Part VI, Section B, Line 12C

The requirement to disclose actual or potential conflicts of interest applies to any member of the board and all staff of cac. All members of the board and staff are required to disclose potential conflicts when their term of employment starts. As part of this initial disclosure the individual agrees to make all future disclosures as they arise in a timely and appropriate manner. All conflicts shall be disclosed to the board of directors. The board of directors is responsible for determining whether a potential conflict is an actual conflict. Any member of the board that has a conflict of interest on any matter shall not vote or use his/her influence on the matter, and he/she shall not be counted in determining the quorum for the meeting, even where permitted by law. The minutes of the meeting shall reflect that a disclosure was made, the abstention from voting, and the quorum situation.

Form 990, Part VI, Section B, Line 15

A salary survey was conducted in 2014 under the direction of the executive committee. Comparability data from the midwest center for nonprofit leadership in kansas city was used as part of the compensation deliberation process. The information was then presented by the executive committee to the board, where it was discussed and used to update salary ranges for the staff and executive director. Therefore, the deliberation and decision was timely documented inside the minutes to the board meeting. This process last took place in 2014 for both the staff and the executive director. Form 990, part vi, section b, line 15b: no other compensated individual meets the irs definition of officer or key employee.

PART X, LINE 2:

The council is tax-exempt under section 501(c)(3) of the internal revenue code and has been determined not to be a private foundation. Although it is exempt from federal and state income taxes on its principal operations, the council is subject to federal income taxes on the net income from any operations identified by the internal revenue service to generate unrelated business income. No such unrelated business income tax was incurred during 2017 or 2016. The council follows the standards for evaluating uncertain tax positions and has determined no liability should be recorded for uncertain tax positions.
