Certain routine matters may not require full board meetings. When necessary, the executive committee is charged to efficiently move business decisions forward. In the event of a critical need for action by the board of directors and if a full board meeting cannot be scheduled, the executive commitee has the authority to make decisions on behalf of the board. The full board shall be asked to validate all executive committee decisions in its next meeting.”
