Mission and Program Overview

Mission

Mts's primary service offering is to facilitate and coordinate the organ and tissue donation process in collaboration with more than 120 area acute care hospitals and 4 transplant centers. With a mission to save lives through excellence in organ and tissue donation, mts has been at the forefront of enhancing the quality of organs and tissue for transplant and a leader in eye bank services. Throughout its history, the organization has relentlessly pursued its core values of compassion, quality, teamwork, innovation, and integrity to create a meaningful donation experience for donor families. Beyond its clinical work, mts is charged with educating the community about donation and transplantation, urging those who have not done so to designate themselves as organ and tissue donors on their state donor registry.

Mid-america transplant enables adults and children to receive lifesaving gifts through organ and tissue donations. For over 40 years, it has facilitated and coordinated organ and tissue donation and now serves 84 counties covering eastern missouri, southern illinois and northeast arkansas that together are home to 4.7 million people. It saves lives by providing expert and compassionate care for organ donors, recipients and families and transforms the clinical processes required to recover and transplant organs and tissues. Mid-america was the first such organization in the u.s. To use an in-house operating room for organ recovery and pioneered innovative models of increasing donor registry enrollment in an effort to provide organs and tissues to those in need. It is federally designated as one of 58 such organizations in the u.s. And is the first organ procurement organization to be recognized as a recipient of the malcolm baldrige national quality award for performance excellence.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 will be available to all board members prior to filing on the board member internet portal. The form 990 is prepared by the independent cpa firm that also conducts the annual audit. The ceo and cfo perform an in-depth review of the 990 as well as respond to all questions and comments regarding the 990 by the board.

Form 990, Part VI, Section B, Line 12C

All officers, directors, trustees and key employees are covered under the conflict of interest policy and must annually review the conflict of interest policy and disclose any conflicts of interest. The conflict of interest policy contains procedures for determination of whether a conflict exists, for addressing of conflicts and for dealing with potential violations of the policy. Compliance with the policy is monitored by management.

Form 990, Part VI, Section B, Line 15

A policy is in place that includes annual review and approval by the compensation committee of mid-america transplant. The compensation committee is comprised of individuals without conflicts of interest with respect to compensation review and approval. An independent external firm provides market competitive compensation data from comparable, tax exempt organizations and published surveys and conducts a competitiveness assessment of mid-america transplant officers and key employees to the market. There is contemporaneous documentation and recordkeeping with respect to the deliberations and decisions regarding the compensation arrangements.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy and financial statements are made available to the public upon written request.

Additional Explanations

FORM 990, PART III, LINE 1, DESCRIPTION OF ORGANIZATION MISSION:

Mid-america transplant's primary service offering is to facilitate and coordinate the organ and tissue donation process in collaboration with over 120 area acute care hospitals and four transplant centers. With a mission to save lives through excellence in organ and tissue donation, mid-america has been at the forefront of enhancing the quality of organs and tissue for transplant and a leader in eye bank services. Throughout its history, the organization has relentlessly pursued its core values of compassion, collaboration, excellence, innovation, integrity, and stewardship to create a meaningful donation experience for donor families. Beyond its clinical work, mid-america transplant is charged with educating the community about donation and transplantation, urging those who have not done so to designate themselves as organ and tissue donors on their state registry. As innovators in the donation process, mid-america is working toward a brighter future where organs and tissues are always available to those in need.

FORM 990, PART XII, LINE 2C:

The organization did not change the oversight or the selection process from the prior year.

Form 990, Part I, Prior Year Line 12

During the tax year, it was discovered that contributions to a related organization were inadvertently reported as a transfer of net assets in prior years. Therefore, the prior year amount for line 12 has been restated to correctly include the amount contributed to the related organization.

Financial Statement Notes

PART V, LINE 4:

The endowment is considered a general endowment fund to support the mission of the center for life and the mid-america transplant family house. The intention is to utilize the principal and earnings on the principal to meet the needs of the center for life and the mid-america transplant family house. Mid-america transplant has adopted a formal spending policy that will allow for a sufficient appropriation from the assets to fully fund the operations of the center for life and the family house programs. In december 2013, mid-america transplant transferred this portion of endowments for the center for life and mid-america transplant family house to the newly formed donate life foundation.

PART X, LINE 2:

Mid-america transplant is a not-for-profit organization under section 501(c)(3) of the internal revenue code and is exempt from income taxes on related income under section 501(a) of the code. However, income from certain activities not directly related to the organization's tax-exempt purpose is subject to taxation as unrelated business income. The financial accounting standards board (fasb) accounting standards codification (asc) section 740-10 clarifies the accounting for income taxes by prescribing the minimum standard a tax position is required to meet before being recognized in the financial statements. The organization has not taken any uncertain tax position that should be accounted for under asc section 740-10. The organization continually evaluates the effects of all tax positions taken including expiring statutes of limitations, tax examinations, unrelated business income and new authoritative rulings. The organization files federal information returns and income tax returns in connection with unrelated business income. The statutes of limitations for these returns filed for the years ended december 31, 2014 through 2016 have not expired and therefore are subject to examination.
