Form 990, Part VI, Section B, Line 11B

The 990 will be available to all board members prior to filing on the board member internet portal. The form 990 is prepared by the independent cpa firm that also conducts the annual audit. The ceo and cfo perform an in-depth review of the 990 as well as respond to all questions and comments regarding the 990 by the board.

Form 990, Part VI, Section B, Line 12C

All new employees complete a conflicts of interest disclosure form, and, depending upon role, many employees submit a conflict of interest form annually. Employees are instructed to update their disclosures if circumstances change. Employee conflicts are reviewed, along with accompanying facts, by the general counsel and the chief administrative officers, and, as appropriate, the ceo. These individuals make a determination as to whether or not a conflict of interest exists. Depending upon the nature of the disclosure, the matter may be reviewed and discussed with the executive leadership team and/or the board of directors. If no conclusion or determination can be made, the matter shall elevate to the board of directors for final discussion and determination. If a potential or actual conflict of interest exists with the general counsel, chief administrative officer, or ceo, the matter shall be reviewed by the board of directors. The board of directors completes an annual disclosure form, and is instructed to update disclosures if circumstances change. Board of director conflict of interest forms are reviewed by the compliance chair of the audit and compliance committee and the general counsel. These individuals make a determination as to whether or not a conflict of interest exists. Depending upon the nature of the disclosure, the matter may be reviewed and discussed with the full audit and compliance committee, and, as appropriate, the board of directors for final determination.

Form 990, Part VI, Section B, Line 15

A policy is in place that includes annual review and approval by the compensation committee of mid-america transplant. The compensation committee is comprised of individuals without conflicts of interest with respect to compensation review and approval. An independent external firm provides market competitive compensation data from comparable, tax exempt organizations and published surveys and conducts a competitiveness assessment of mid-america transplant officers and key employees to the market. There is contemporaneous documentation and record keeping with respect to the deliberations and decisions regarding the compensation arrangements.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy and financial statements are made available to the public upon written request.

IRS990/Desc0MID-AMERICA TRANSPLANT IS INSPIRED BY THE GENEROSITY OF DONORS AND THE COURAGE OF TRANSPLANT PATIENTS AND STRIVES TO MAKE MORE LIFESAVING TRANSPLANTS A REALITY FOR THE NEARLY 106,000 INDIVIDUALS AWAITING TRANSPLANTATION THROUGHOUT THE COUNTRY. REFERRALS ARE ASSESSED BY MID-AMERICA TRANSPLANT AT OUR PARTNER HOSPITALS FOR POTENTIAL ORGAN AND TISSUE DONATION. IN 2021, THROUGH THESE REFERRALS, 258 GENEROUS ORGAN DONORS ALLOWED MID-AMERICA TRANSPLANT TO COORDINATE 706 LIFESAVING ORGAN TRANSPLANTS. IN ADDITION TO ORGAN DONATION, TISSUE DONATION IS A CORE COMPONENT OF THE ORGANIZATION'S MISSION TO SAVE LIVES. MID-AMERICA TRANSPLANT COORDINATES THE RECOVERY OF TISSUE, WHICH HELPS PEOPLE IN NEED OF CORNEAL TRANSPLANTS TO RESTORE SIGHT, AS WELL AS SKIN AND BONE DONATIONS TO REPAIR INJURIES. IN 2021, 2,245 TISSUE DONORS PROVIDED HEALING FOR THOUSANDS OF PEOPLE THROUGH GENEROUS GIFTS OF SKIN, BONE, VEIN, HEART VALVE, AND CORNEA DONATIONS. ADDITIONALLY, ONSITE LABORATORY SERVICES ALLOW MID-AMERICA TRANSPLANT TO CONDUCT INFECTIOUS DISEASE TESTING MORE EFFICIENTLY AND MAXIMIZE THE PLACEMENT OF SAFE ORGANS AND TISSUES. THE MID-AMERICA TRANSPLANT BUILDING HOUSES A CRITICAL CARE UNIT WHERE DONOR MANAGEMENT OCCURS ALONG WITH THREE FULLY EQUIPPED ORS. AIDING THE CLINICAL PROCESS IS THE HOSPITAL SERVICES (HS) STAFF, WHICH INTERACTS WITH THE AREA HOSPITALS TO PROVIDE SUPPORT AND EDUCATION ABOUT THE CLINICAL ASPECTS OF DONATION AND TRANSPLANTATION. THESE PERSONNEL DEVELOP RELATIONSHIPS WITH OVER 120 HOSPITALS AND NUMEROUS PHYSICIANS AND NURSES. PROFESSIONAL EDUCATION SERVICES PROVIDED BY THE HS STAFF ENSURE A POSITIVE PRESENCE IN THE HEALTHCARE COMMUNITY. MID-AMERICA TRANSPLANT ALSO SERVES AS A RESOURCE FOR HOPE AND HEALING. ITS COORDINATORS FROM THE FAMILY SUPPORT SERVICES AND DONOR SERVICES DEPARTMENTS COMPASSIONATELY WORK WITH FAMILIES AT THE TIME OF THEIR LOVED ONE'S DEATH, OFFERING EDUCATION, INFORMATION AND SUPPORT DURING THEIR DECISION-MAKING PROCESS. FOLLOWING THE DONATION, THE AFTERCARE PROGRAM SERVES AS A SOURCE OF INFORMATION, PROVIDING TOOLS TO HELP FAMILIES WITH THEIR GRIEF JOURNEY AND OFFERING SUPPORTIVE SERVICES, INCLUDING PROVIDING BEREAVEMENT SUPPORT MATERIALS AND WORKSHOPS, SUPPORT THROUGH REMEMBRANCE CEREMONIES AND COMMUNITY EVENTS, AND FACILITATING COMMUNICATIONS BETWEEN FAMILIES OF DONORS AND RECIPIENTS. MID-AMERICA TRANSPLANT SUPPORTS AND PROVIDES SUPPLIES FOR DONOR REGISTRY DRIVES UPON REQUEST. THE INFORMATION SUMMARIZES CRITICAL TOPICS AND IDENTIFIES MID-AMERICA TRANSPLANT'S ROLE AS A PROCUREMENT ORGANIZATION AND ASSISTS WITH SPREADING AWARENESS OF ORGAN AND TISSUE DONATION TO THE GENERAL PUBLIC, ENCOURAGING THE COMMUNITY TO ENROLL ON THE NATIONAL DONOR REGISTRY. MID-AMERICA TRANSPLANT MAINTAINS A VOLUNTEER PROGRAM, TRAINING INDIVIDUALS WHO HAVE BEEN PERSONALLY IMPACTED BY DONATION TO SERVE AS AMBASSADORS TO THE CAUSE BY ENGAGING THEM IN OPPORTUNITIES TO SHARE THEIR PERSONAL STORY AND PUT A "FACE" TO ORGAN AND TISSUE DONATION.
