“The organization has members who may elect one or more members to the governing body. Election of officers and members of the board takes place at an annual meeting of the organization. Election is by majority vote. Upon election, officers and members of the board take possession of their offices immediately.”

“The Form 990 is reviewed by the organizations finance committee and accounting firm prior to a meeting of the entire board. At the board meeting, the finance committee and accounting firm review the Form 990 section by section, line by line, and will entertain questions from the board members and will recommend to the board members whether or not the 990 should be filed as it is. As part of the presentation, the finance committee will make recommendations regarding governance, policies, disclosures, and other matters.”

“The organizations conflict of interest policies are monitored on an ongoing basis. At each board meeting, members are requested to disclose whether they have any personal interest or conflict of interest in the matters being discussed.”

“The organizations executive search committee spells out the role and duties of key employees including the Executive Director. The executive committee searches for appropriate candidates and handles the interview process. Compensation is negotiated and agreed upon based on the duties and the role of the prospective employee, skills and experience of the person, market conditions and comparable salaries in the market for a similar position. All members of the executive search committee are independent board members.”
