Governance Explanations

Form 990, Part VI, Section B, Line 11

The audit firm presents the audit and 990 to members of the finance committee. The finance committee reviews the information and asks questions or requests clarification from the audit firm. Once accepted by the finance committee, a copy of the audit and 990 are scanned to the wvs secure website for board members to review prior to the next board meeting. Hard copies of the audit and 990 are also available to board members. At the board meeting, the finance committee reviews the highlights from their meeting with the auditor. Once all questions or concerns are addressed, the board votes to file the mn charitable organization form and related 990 and to accept the independent auditors report.

Form 990, Part VI, Section B, Line 12C

Board members read and sign a conflict of interest policy annually. During a board vote, individuals will abstain from the vote if they have a direct relationship conflict with the outcome of the motion.

Form 990, Part VI, Section B, Line 15

The executive committee conducts its annual review of the executive director prior to the end of the year. The executive committee also reviews the current salary and benefits survey from the minnesota council of nonprofits. Based on the performance review of the executive director, the committee recommends the executive director's compensation for the next year. The executive director conducts annual reviews of the staff before the end of the year and prior to approving the budget. Based on their performance reviews, the executive director presents any changes to staff compensation for the next budget year to the finance committee. The finance committee reviews the proposed changes in compensation as part of the overall budget setting process and posts the proposed budget for all board members to review and comment on prior to the january board meeting. The new budget, including proposed staff compensation, is approved by the full board at the january board meeting.

Financial Statement Notes

PART X, LINE 2:

Us gaap requires management to evaluate tax positions taken by the organization and recognize a tax liability (or asset) if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by a taxing authority. Management has analyzed the tax positions taken by the organization, and has concluded that as of 12/31/13 and 12/31/2014, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The organization is subject to routine audits by taxing jurisdictions, however, there are currently no audits for any tax period in progress. The organization will recognize future accrued interest & penalties related to unrecognized tax benefits in income tax expense if incurred. The organization is no longer subject to federal tax examination for the years before 2009 and state examination for years before 2008. The determination of tax exempt status is considered to be a tax position taken with respect to the provisions of us gaap.

IN 2014, 22,580 INDIVIDUALS (AN AVERAGE OF 906 HOUSEHOLDS EVERY MONTH) UTILIZED THE FOOD SHELF AND ANOTHER 2,319 INDIVIDUALS (AN AVERAGE OF 93 HOUSEHOLDS) REQUESTED EMERGENCY FOOD. MEALS ARE PREPARED BY STEAK SHOP CATERING AND DELIVERED BY VOLUNTEERS MONDAY THROUGH FRIDAY BETWEEN THE HOURS OF 10:30 AM AND 12:30 PM. IN TOTAL, 44 INDIVIDUAL DRIVERS, 18 BUSINESSES AND 10 CONGREGATIONS VOLUNTEERED BY DELIVERING 16,277 MEALS TO AN AVERAGE OF 84 DAILY RECIPIENTS.

FOOD IS SERVED FAMILY STYLE, PASSING BOWLS OF FOOD AROUND THE TABLE FOR THE KIDS TO SERVE THEMSELVES, AND THEN WAITING TO EAT UNTIL EVERYONE HAS BEEN SERVED (WE URGE THEM TO AT LEAST TAKE A TASTE OF EVERYTHING.) DURING THE MEAL, ADULT "CHAPERONES" ENCOURAGE TABLE MANNERS AND CONVERSATION WITH ALL AT THE TABLE. WE USE "CONVERSATION CARDS" TO KICK OFF TOPICS, IF ONE DOESN'T EMERGE NATURALLY. DINERS ARE ASKED TO STAY AT THE TABLE UNTIL EVERYONE IS FINISHED. A TOTAL OF 474 KIDS AND FAMILY MEMBERS ENJOYED THIS EXPERIENCE.WINONA VOLUNTEER SERVICES ALSO RUNS VARIOUS SPECIAL PROJECTS THROUGHOUT THE YEAR. WVS HOSTS AN ANNUAL EASTER DINNER AT THE EAGLES CLUB ON EASTER SUNDAY THAT IS OPEN TO THE PUBLIC FREE OF CHARGE. IN 2014, APPROXIMATELY 230 MEALS WERE SERVED WITH FOOD SUPPLIED AND PREPARED BY CHARTWELL CATERING. THE LIONS CLUB SUPPORTS THE CHRISTMAS HAM BASKET DISTRIBUTION WITH A FINANCIAL CONTRIBUTION AND VOLUNTEER BASKET ASSEMBLERS. A TOTAL OF 550 BASKETS WERE PREPARED AND DISTRIBUTED IN 2014.IN ITS FOURTH YEAR, THE "FOOD FOR THOUGHT" BACKPACK PROGRAM PROVIDES FOOD FOR CHILDREN OVER WEEKENDS AND SCHOOL BREAKS. THE FOOD PROVIDED IS KID-FRIENDLY, MEANING THE CHILD WILL BE ABLE TO PREPARE IT THEMSELVES, NOT HAVING TO RELY ON AN ADULT. THE FOOD IS ORDERED AND PURCHASED BY WINONA VOLUNTEER SERVICES. THEN, ASSIGNED CHURCH VOLUNTEERS PICKUP AND ORGANIZE IT INTO BACKPACKS FOR EACH PARTICIPATING FAMILY THE ELEMENTARY SCHOOL HAS IDENTIFIED. THE BACKPACKS ARE DELIVERED TO WASHINGTON-KOSCIUSKO, JEFFERSON,MADISON AND GOODVIEW, ROLLINGSTONE, THE ALTERNATIVE LEARNING CENTER AND THE LUTHERAN ELEMENTARY SCHOOLS BEFORE THE WEEKEND OR BREAK. PTA VOLUNTEERS AND TEACHERS GET THE BACKPACKS AND DELIVER THEM TO CLASSROOM TEACHERS. THE CHILDREN RETURN THE BACKPACKS TO SCHOOL THE FOLLOWING WEEK TO BE REFILLED. ENOUGH FOOD IS PROVIDED FOR ANY ADDITIONAL CHILDREN IN THE HOME BETWEEN THE AGES OF 3 AND 15 YEARS OLD. A TOTAL OF 330 ELEMENTARY KIDS FROM 143 FAMILIES WERE HELPED IN THE 2014/2015 SCHOOL YEAR.

MANAGEMENT HAS ANALYZED THE TAX POSITIONS TAKEN BY THE ORGANIZATION, AND HAS CONCLUDED THAT AS OF 12/31/13 AND 12/31/2014, THERE ARE NO UNCERTAIN POSITIONS TAKEN OR EXPECTED TO BE TAKEN THAT WOULD REQUIRE RECOGNITION OF A LIABILITY (OR ASSET) OR DISCLOSURE IN THE FINANCIAL STATEMENTS. THE ORGANIZATION IS SUBJECT TO ROUTINE AUDITS BY TAXING JURISDICTIONS, HOWEVER, THERE ARE CURRENTLY NO AUDITS FOR ANY TAX PERIOD IN PROGRESS. THE ORGANIZATION WILL RECOGNIZE FUTURE ACCRUED INTEREST & PENALTIES RELATED TO UNRECOGNIZED TAX BENEFITS IN INCOME TAX EXPENSE IF INCURRED. THE ORGANIZATION IS NO LONGER SUBJECT TO FEDERAL TAX EXAMINATION FOR THE YEARS BEFORE 2009 AND STATE EXAMINATION FOR YEARS BEFORE 2008. THE DETERMINATION OF TAX EXEMPT STATUS IS CONSIDERED TO BE A TAX POSITION TAKEN WITH RESPECT TO THE PROVISIONS OF US GAAP.
