Governance Explanations

Form 990, Part VI, Section B, Line 11

The audit firm presents the audit and 990 to members of the finance committee prior to a winona volunteer services board meeting. The finance committee reviews the information and asks questions or requests clarification from the audit firm. A copy of the audit and 990 are scanned to the wvs secure website for board member review prior to the board meeting. Hard copies of the audit and 990 are available to board members during the next board of directors meeting. The finance committee reviews the highlights from their meeting with the auditor. If there are no further questions or concerns, the board of directors votes to file the mn charitable organization form and related 990 and to accept the independent auditor's report.

Form 990, Part VI, Section B, Line 12C

Board members read and sign a conflict of interest policy annually. During a board vote, individuals will abstain from the vote if they have a direct relationship conflict with the outcome of the motion.

Form 990, Part VI, Section B, Line 15

The executive committee conducts its annual review of the executive director prior to the end of the year. The executive committee also reviews the current salary and benefits survey from the minnesota council of nonprofits. Based on the performance review of the executive director, the committee recommends the executive director's compensation for the next year. The executive director conducts annual reviews of the staff before the end of the year and prior to approving the budget. Based on their performance reviews, the executive director presents any changes to staff compensation for the next budget year to the finance committee. The finance committee reviews the proposed changes in compensation as part of the overall budget setting process and posts the proposed budget for all board members to review and comment on prior to the january board meeting. The new budget, including proposed staff compensation, is approved by the full board at the january board meeting.

Financial Statement Notes

PART X, LINE 2:

Us gaap requires management to evaluate tax positions taken by the organization and recognize a tax liability (or asset) if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by a taxing authority. Management has analyzed the tax positions taken by the organization, and has concluded that as of 12/31/13 and 12/31/2012, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The organization is subject to routine audits by taxing jurisdictions, however, there are currently no audits for any tax period in progress. The organization will recognize future accrued interest & penalties related to unrecognized tax benefits in income tax expense if incurred. The organization is no longer subject to federal tax examination for the years before 2009 and state examination for years before 2008. The determination of tax exempt status is considered to be a tax position taken with respect to the provisions of us gaap.

WE MADE 500 REFERRALS TO OTHER SERVICE PROVIDERS IN THE WINONA AREA.OUR CLIENT EDUCATION PROGRAM COORDINATES ACTIVIES THAT ADDRESS MAKING BETTER CHOICES WHEN IT COMES TO MONEY AND FOOD. WORKSHOPS PROVIDE PARTICIPANTS TRAINING IN PRACTICAL LIVING SKILLS WITH THE GOAL OF IMPROVING THEIR ECONOMIC STABILITY AND SELF-RELIANCE. PARTICIPANTS HAVE ACCESS TO COMMUNITY CONTACTS WHO CAN HELP THEM BEST USE THEIR LIMITED RESOURCES TO IMPROVE THEIR FINANCIAL SITUATION. WE OFFERED 35 DIFFERENT WORKSHOPS IN 2013 WITH 251 PARTICIPANTS. WE DISTRIBUTED 687 $1.00 COUPONS TO HELP WOMEN, INFANTS, AND CHILDREN (WIC PARTICIPANTS), 11 $1.00 COUPONS TO HELP ALC MOMS AND 877 $1.00 COUPONS TO HELP CLASS PARTICIPANTS PURCHASE FRESH PRODUCE FROM THE WINONA FARMER'S MARKET. OUR COORDINATED EMERGENCY ASSISTANCE PROGRAM EXISTS TO PROVIDE A CENTRAL POINT OF CONTACT TO THOSE SEEKING EMERGENCY FINANCIAL ASSISTANCE DUE TO URGENT AND UNEXPECTED SITUATIONS. OUR GOAL IS TO FIRST USE EXISTING PROGRAMS AND SERVICES TO HELP SOLVE THE PROBLEM, OR IF THE SITUATION DOES NOT MEET OUR ASSISTANCE GUIDELINES, REFERRALS ARE MADE TO OTHER RESOURCES FOR HELP.
