Governance Explanations

Form 990, Part VI, Section A, Line 3

In september 2015, crossroads, inc. Delegated executive leadership duties to yale university's school of medicine, who provided a temporary manager to crossroads. This temporary manager serves as executive director to provide strategic guidance and administrative and operational leadership skills for crossroads, inc. This temporary manager was compensated $48,845 during the calendar year 2015 and $166,125 during the fiscal year 2016.

Form 990, Part VI, Section B, Line 11

Crossroads inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. A paper copy of the form 990 as well as an electronic copy is sent to board members for their review prior to filing. Once the board has reviewed the form, they approve the return at the next board meeting, documenting the approval in the board minutes.

Form 990, Part VI, Section B, Line 12C

Board members are required to annually submit a duality and conflict of interest statement to disclose any possible conflicts of interest. Annually, the chairman of the board of directors of crossroads, inc. Shall send to all directors a copy of the policy with a questionnaire to be completed and returned for the purpose of disclosure of any conflict of interest. An appropriate report shall be submitted to crossroads, inc.'s board of directors concerning any interest so disclosed. Any director having a duality of interest or possible conflict of interest on any matter should not vote, enter into agreement, or use his/her personal influence on the matter, and he/she should not be counted in determining the quorum for the meeting, even where permitted by law. The minutes of the meeting should reflect that the disclosure was made, the abstain from voting, and the quorum situation.

The clifford skolnick's, (executive director) compensation is reviewed, compared to a pay scale, and approved by the board of directors. We survey comparable positions in other agencies, review websites for salary ranges, and decide can be offered that is fiscally feasible. The board's approval of the salary determination is documented in the board minutes.
