Environmental Nature Center Conflict of Interest Policy SUMMARY The purpose of this policy is to protect the Environmental Nature Center's interests when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer, director or staff member of the ENC. SCOPE The following statement of policy applies to: - each Board Member, and - all management and staff (herein referred to as "Staff") FIDUCIARY RESPONSIBILITY: Members of the Board and Staff serve the Environmental Nature Center and have a clear obligation to conduct all affairs of the organization in an upright and honest manner. When representing the ENC, each person should make necessary decisions using good judgment and in a principled, ethical and upstanding manner. All decisions of the Board and Staff of the organization are to be made solely on the basis of a desire to promote quality education through hands-on experience with nature through this organization. POLICY Members of the Board and Staff shall fully disclose the precise nature of their interest or involvement when participating in any transaction or arrangement for the organization in which another party to the transaction or arrangement includes: - him/herself; - a member of the family or household (spouse, parents, brothers, sisters, children, and other immediate family or household members); or - a person with whom he or she has a romantic or sexual relationship; or - an organization with which the member of the Board or the Staff, or his/her family is affiliated. Disclosure shall be made at the first knowledge of the transaction or arrangement. GENERAL DISCLOSURE Members of the Board and Staff shall also disclose all relationships and business affiliations which may now, or in the future, potentially conflict with the interests of the ENC or bring personal gain to them, their families, or their businesses in connection with any ENC transaction or arrangement. Disclosure must be made if any member of the Board or Staff or a member of his/her family/household, or any person with whom such Board or Staff member has a romantic or sexual relationship: - is an officer, director, trustee, partner, employee, or agent of an organization with which the Environmental Nature Center has business dealings; - is either the actual or beneficial owner of more than 1 percent of the voting stock or controlling interest of an organization with which the Environmental Nature Center has business dealings; - is a consultant for such an organization; or - has any other direct or indirect dealings with an individual or organization (i.e., through the receipt directly or indirectly of cash, gift, or other property). DISCLOSURE REPORTING All disclosures required by Staff will be handled by the Executive Director and reported to the President of the Board, and all disclosures as they apply to the members of the Board shall be referred to the Secretary of the Board. Information disclosed to the Secretary of the Board or the Executive Director will be held in confidence, except when the ENC's best interest would be served by bringing the information to the attention of the Executive Committee of the Board of Directors. DETERMINATION OF CONFLICTS OF INTEREST The interest or involvement of a Board or Staff member in a transaction or arrangement that is required to be disclosed under this policy is not necessarily a conflict of interest. A person who has such interest or involvement will not have a conflict of interest if, after disclosure to the Board of such interest or involvement, along with all material facts, the Board decides that no conflict of interest exists. RESTRAINT ON PARTICIPATION Members of the Board and Staff who have a conflict of interest in any transaction or arrangement involving the ENC shall refrain from participating in the consideration of the proposed transaction or arrangement. Financial Statement Notes

Part V, Line 4:

On December 12, 2001, the Center received an endowment fund for the benefit of the Center. Net assets associated with the endowment are classified and reported based on the existence of board-designated restrictions. The endowment is expected to distribute annually 5% of the total market value based on a twelve-quarter rolling market value average, while maintaining the purchasing power of the assets over the long-term.

Part X, Line 2:

The Center is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code. It is also exempt from California income taxes. Accordingly, no provision for Federal or California income taxes is included in the accompanying financial statements. ASC Topic 740, Income Taxes, prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return, and provides guidance on derecognition, classification, interest and penalties, disclosure, and transition. Management believes that no such uncertain tax positions exist for the Center at June 30, 2017

IRS990/Desc0During the 2016-17 program year 27,374 people participated in Environmental Nature Center programs. ENC staff Naturalists presented 57,485 hours of educational programming.School ToursIn 2016-17 the ENC's school tour programs were revised to align with the Next Generation Science Standards that are being implemented by California schools. There are 13 unique school tour programs designed for each grade level (preK high school). During Ecosystem Investigators, kindergarten students observe, analyze, and interpret patterns between what plants, animals, and humans need to survive. In Creature Features, first grade students learn how adaptations of animals influence human problem solving. In Eco-Observers, second grade students discover the importance of biodiversity and learn that there are many different kinds of living things in an area, and they exist in different places. In Animal Abilities, third grade students learn that animals have unique characteristics and life cycles, as well as unique abilities to help them interact with and survive in their specific environment. In addition, Tongva Trail is a 3rd grade social science program where students learn the lifestyle of the local Native Americans. In Natureology fourth grade students explore science careers while participating in hands-on activities and experiments. Native American Adventure is a 4th grade social science program where students experience the lifestyles of the California Native Americans. In Ecosystem Ed-venture fifth grade students perform water quality tests between two aquatic ecosystems. In Ecosystem Inquisitor middle school students conduct field research to assess the abiotic factors in two different California plant communities. 7th - 12th grade field trips are now offered in the Buck Gully Reserve, a natural, coastal canyon in Newport Beach, through our new partnership with the City of Newport Beach. The program called "Science Career Excursion" provides students with exposure to a variety environmental science careers in botany, geology, ecology, entomology, and ornithology. 12,727 students in grades pre-K-12 participated during the fiscal year.Traveling Naturalist This program offers science and social science instruction at local schools. 395 Traveling Naturalist programs occurred during the 2016-17 school year, reaching 9,331 students.Scout ToursThese programs have specific curriculum to meet the requirements of many community groups including Boy Scouts, Girl Scouts, Campfire Boys & Girls, and YMCA Indian Programs. 1383 scouts visited the ENC during the 2016-17 program year.Community ProgramsCommunity Programs included the Adult Speaker Series, talks on Coyotes and Wolves, a Hummingbird Talk, Birdwatching Basics, and more. In the 2016-17 year, 629 community members visited the Center for these types of programs. Student Enrichment ProgramsStudent Enrichment Programs are offered throughout the year during school breaks, after school or during the summer (Winter Camp, President's Week Camp and Spring Break Camp). The curriculum is science or art based. 508 children visited the ENC during the 2016-17 program year to enjoy enrichment programs. Nature Camp Science Summer School Eight 1-week sessions of Nature Adventure Camp for campers in K through 3rd grade were held throughout the summer at the ENC. Camp student enrollment for Nature Adventure Camp 2016 totaled nearly 500 campers filling 606 spots.Thanks to our new partnership with the City of Newport Beach, Science Explorers Camp for campers in 4th 6th was staged at the Back Bay Science Center, a 13,000 square foot state-of-the-art teaching and research facility on Shellmaker Island within the Upper Newport Bay Ecological Reserve.Birthday PartiesBirthday parties include a tour of the center, interactions with our educational animals, and a scavenger hunt. 415 children participated in 27 birthday Parties during the 2016-17 program year.Adult Volunteer ProgramsAdult Volunteers continued to play an en
