“There are two classes of members per the organization's governing documents; general members and associate members. General members have voting rights in the election of board members, but associate members do not.”

“If there are any member vacancies on the board, the general members will vote on the open positions at their annual meeting, which is held in june of each year. The members do not approve any decisions made by the governing body”

“The return is reviewed by the executive director and financial specialist prior to giving to the president. The president then reviews the return prior to signing a copy of the 990 is made available to all board members”

“The board of directors monitors compliance with the policy and is responsible for voting on any potential conflicts the president and executive director review the annual responses when a conflict arises, the board member recuses themselves from the discussion and vote.”

“Executive salaries are determined based on comparisons with like agencies all salaries must be within the established salary range, upon completion of probation, and authorized in writing by the board of directors. Merit increases will be considered on the basis of performance evaluation when authorized in the budget the last compensation review was performed in september of 2020.”

“The board of directors may delegate authority to the executive committee to make certain decisions or take certain actions between board of directors' meetings. The executive committee is composed of the president, vice president, secretary and treasurer, with one or more additional directors elected by the board of directors. The executive committee may also be utilized by the president as any other committee for making recommendations to the board of directors. The executive committee shall have no authority to take any action other than advisory to the board of directors without a specific delegation from the board of directors between meetings. All decisions of the executive committee on items specifically delegated to said committee must be mailed or sent electronically to all board members prior to the next meeting of the board of directors. In order to exercise the delegated authority, a quorum of the executive committee shall be a majority of the committee members.”
