The 990 is being amended to change the nature of gaming revenue to ubi on part viii, line 9. Other changes from the originally filed 990 is to include the ubi detail on part i, line 7 and 7b, check yes on part v, line 3a and 3b.

There are two classes of members per the organization's governing documents; general members and associate members. General members have voting rights in the election of board members, but associate members do not.

Form 990, Part VI, Section A, Line 7A

If there are any member vacancies on the board, the general members will vote on the open positions at their annual meeting, which is held in june of each year. The members do not approve any decisions made by the governing body

The return is reviewed by the executive director and financial specialist prior to giving to the president. The president then reviews the return prior to signing a copy of the 990 is made available to all board members

The board of directors monitors compliance with the policy and is responsible for voting on any potential conflicts the president and executive director review the annual responses when a conflict arises, the board member recuses themselves from the discussion and vote.

The board of directors may delegate authority to the executive committee to make certain decisions or take certain actions between board of directors' meetings. The executive committee is composed of the president, vice president, secretary and treasurer, with one or more additional directors elected by the board of directors. The executive committee may also be utilized by the president as any other committee for making recommendations to the board of directors. The executive committee shall have no authority to take any action other than advisory to the board of directors without a specific delegation from the board of directors between meetings. All decisions of the executive committee on items specifically delegated to said committee must be mailed or sent electronically to all board members prior to the next meeting of the board of directors. In order to exercise the delegated authority, a quorum of the executive committee shall be a majority of the committee members.

Financial Statement Notes

PART V, LINE 4:

The endowment fund is intended to be used to meet the future needs of senior citizens of the north snohomish county area the principal of the funds will generally be kept intact and the income will be available to fund future general operations.

PART X, LINE 2:

Stilly valley center, stillaguamish pointe, and stillaguamish gardens are exempt from federal income taxes under section 501(c)(3) of the internal revenue code. They have been classified as organizations that are not private foundations within the meaning of section 509(a) because they are organizations of the type described in section 509(a)(2). Stilly valley center is the sole member of stillaguamish i, llc (hud project number 127-11170), which is a disregarded entity for tax purposes. The organization has evaluated its tax positions and concluded that it has taken no uncertain tax positions that would require adjustment to the financial statements. In addition, the organization is not aware of any matters that would cause the loss of its tax-exempt status.
