Governance Explanations

Form 990, Part VI, Section A, line 1A

The Executive Committee consists of the Chair, Immediate Past Chair, Vice-Chairs, Secretary, the Chair of the Finance & Administration Committee, any other Board Officers and no more than five other Directors appointed by the Chair and approved or ratified by the Board. The Executive Committee is delegated the full authority to act for the Board between Board meetings when pressing matters require action.

Form 990, Part VI, Section A, line 1A

The Board may elect Life Directors who have served BakerRipley with special distinction. A Life Director has full voting rights and responsibilities. On the recommendation of the Nominating Committee, the Board may determine that a Life Director is inactive, in which event the Life Director will have only an advisory role and will have no voting rights or responsibilities as a Director.

As stated in BakerRipley's Board of Directors' Policies, "Each Board Member must disclose any relationship from which a conflict may arise. A Board Member who fails to disclose a potential conflict of interest, after allowed the opportunity to provide an explanation, will be subject to appropriate disciplinary action should the Board find the member negligent in his/her duties." Board Members, Officers and certain employees are required to complete an Annual Disclosure Statement to report all actual, perceived, and potential conflicts of interest that have arisen as a result of their service or employment with BakerRipley. The Annual Disclosure Statement must be completed and returned in a timely manner. Board Members, Officers and certain employees are also required to provide notice to the President/CEO of actual, perceived, or potential conflicts of interest as they occur throughout the year. The Board, or a Committee so designated, periodically reviews the conflict of interest disclosure statements for continued compliance.

The Compensation Committee of the Board approves compensation for the President/CEO based on salary surveys of CEO positions of similar sized non-profit organizations along with a review of Form 990 information from other non-profit organizations. The Compensation Committee also approves compensation of other officers and key employees annually based on salary surveys of positions in similar sized non-profit organizations along with the review of the Form 990 information from other non-profit organizations.

IRS990/Desc0BakerRipley Public Sector Solutions (divisions included are Workforce Initiatives and Regional Initiatives) operates 13 of the 27 Career Offices along with the Financial Aid Payment Office for the 13 county Gulf Coast Workforce Solutions System and operates the Child Care Services programs for Coastal Bend, Capital Area, East Texas, and Rural Capital workforce regions. Through Workforce Solutions, 42,892 individuals received employment services and 117,023 individuals received financial aid to support their work and training activities throughout 48 Texas counties. The Veterans Services program served 1,008 veterans. The Utility Assistance and Weatherization programs served 38,401 individuals including the elderly, disabled, and low-income families with young children. (See Schedule O)In addition to our standard programming, in 2022 BakerRipley (BR) ran three COVID housing programs. BR was able to help 92,154 people stay in their homes during the COVID-19 pandemic through our Rental Assistance program, which paid rent to landlords on behalf of tenants who were unable to pay. In addition, our COVID Homeless Diversion & Rapid Rehousing programs helped 1,305 individuals remain in their current home or obtain one if they were homeless.
