The Executive Committee shall consist of the Chair, Immediate Past Chair, Vice-Chairs, Secretary, the Chair of the Finance & Administration Committee, any other Board Officers and no more than five (5) other Directors appointed by the Chair and approved or ratified by the Board. The Executive Committee is delegated the full authority to act for the Board between meetings of the Board when pressing matters require Board action.

The Form 990 is first reviewed by both the Chief Financial Officer and the Controller. A copy is provided to the Finance and Administration Committee for review and approval.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

As stated in the Agency's Board of Directors' Policies, "Each Board Member must disclose any relationship from which a conflict may arise. A Board Member who fails to disclose a potential conflict of interest, after allowed the opportunity to provide an explanation, will be subject to appropriate disciplinary action should the Board find the member negligent in his/her duties." Board Members, Officers and certain employees are required to complete an Annual Disclosure Statement to report all actual, perceived and potential conflicts of interest that have arisen as a result of their service or employment with the Agency. The Annual Disclosure Statement must be completed and returned in a timely manner. Board Members, Officers and certain employees are also required to provide notice to the President & CEO of actual, perceived or potential conflicts of interest as they occur throughout the year. The Board, or a Committee so designated, will periodically review conflicts of interest for continued approval.

Form 990, Part III, Line 4D: Other Program Services Description

OTHER PROGRAM SERVICES 4: BakerRipley Choices in Education provides opportunities for students (birth to 8th grade) and their parents through an innovative education system that promotes quality, consistency and connection at every juncture of a child's life. Our goal is to ensure that families have access to services that ensure success in the classroom and for the rest of their lives. Our Early Head Start/Head Start program provides comprehensive child development in an all-year, full-day format that supports working parents. This program served 3,451 infants through pre-school age children and their 5,005 parents. The Early Childhood Development Center served 102 students and 107 parents. Our Charter School offers a well-balanced education experience for 850 pre-kindergarten through eighth grade children. OTHER PROGRAM SERVICES 5: The Disaster Recovery Case Management program assisted 11,770 individuals in recovering from the impact of Hurricane Harvey. Through Disaster Recovery Services 3,183 families with 5,252 unmet needs were served, and the Home Repair program helped 989 eligible families with home repairs and completed 642 homes in 2018.

The BakerRipley Endowment Fund was established for the purpose of supporting operating needs and program services that are consistent with BakerRipley's mission, and provide growth and expansion of programs and/or creation of new ones. The Fund includes both donor-restricted endowment funds and funds designated by the Board of Directors of BakerRipley to function as endowments.
