Governance Explanations

Form 990, Part VI, Section B, Line 11B

The finance committee of the board of directors reviews the organization's form 990, including all schedules, and presents it to the entire board before voting on its completion and filing.

Form 990, Part VI, Section B, Line 12C

Directors are required to sign a conflict of interest policy annually. A member of the board shall advise the president in response to an annual questionnaire and at any time when such person becomes aware of such relationship which has not previously been disclosed, if such person is related by blood, marriage or adoption to any other member of the board of directors, to any officer or employee of mary's shelter or mary's home, or to any officer, agent or employee of any professional fundraising counsel or professional solicitor under contract with mary's shelter.

Form 990, Part VI, Section B, Line 15

The starting salaries of the executive director and other employees are comparable to salaries paid by other similar organizations. The process for determining salary increases begins with written performance evaluations. Based on points received in the evaluation, the salaries are adjusted accordingly.

Form 990, Part VI, Section C, Line 18

The organization's form 990 is made available for public inspection upon request.

Form 990, Part VI, Section C, Line 19

The organziation's financial statements and governing documents are made available to the public upon request.

Form 990, Part VI, Line 13

The organization has a written whistleblower policy in effect which covers its employees. However, this policy does not cover the board of directors.

Additional Explanations

Form 990, Part V, Line 1C

The organization did not have any instances where backup withholding was required; however, if the situation would arise, the organization is aware of the reporting requirements and would handle that accordingly.

Form 990, Part XII, Line 2C

The finance committee of the board of directors assumes responsibility for oversight of the audit of the organization's financial statements and selection of an independent accountant. This process has not changed from prior years.

Financial Statement Notes

PART V, LINE 4:

The endowment funds are used to fund general expenses of the organization.

PART X, LINE 2:

The shelter is a domestic nonprofit corporation formed for charitable purposes and is exempt from income tax under section 501(c)(3) of the internal revenue code. The shelter is subject to federal and state income taxes on unrelated business income. The shelter recognizes penalties and interest accrued related to income tax liabilities in the provision (benefit) for income taxes in its statements of activities. At december 31, 2017, there was no accrual for the payment of penalties and interest. When tax returns are filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the position taken or the amount of the position that would ultimately be sustained. The benefit of a tax position is recognized in the financial statements in the period during which, based on all available evidence, management believes it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions taken are not offset or aggregated with other positions. Tax positions that meet the more-likely-than-not recognition threshold are measured as the largest amount of tax benefit that is more than 50% likely of being realized upon settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for unrecognized tax benefits in the accompanying statements of financial position, along with any associated interest and penalties that would be payable to the taxing authorities upon examination. The shelter files tax returns in the u. S. Federal jurisdiction. The shelter's income tax returns are not subject to examination through the year ended december 31, 2014 .
