Pt III, Line 3

The Community's Foundation sold its operation of Taylor Hospice on 02-01-2018. TCF continued its ownership of the physical facility housing the inpatient unit of the hospice operation of the new owner. TCF also initiated a HOSPICE LEGACY FUND to enable the long term upkeep and growth of memorial gardens on the property.

Pt VI, Line 4

The Board approved changes to the by-laws that formalized the organization's name change from "Taylor Community Foundation" to "The Community's Foundation". They also approved a change in the mission statement to "TCF is committed to enhancing the quality of life in your community. To achieve this mission: We support: - Promising Students, via our Scholarship Programs - Transformational Projects, via our Grants Programs - Charitable Endeavors, via Community Advised Fund and Donor Advised Funds We Value: - Community Collaborations - Innovative Solutions - Strategic Investments We Promise: - Thoughtful Listening - Careful Stewardship - Adaptability. Finally, the Board changed the by-laws to reflect a change in the corporation's offices from 300 Johnson Avenue, Ridley Park to 900 W.Sproul Road, Suite 101, Springfield PA.

Pt VI, Line 11B

Form 990 is drafted by the organization's Chief Financial Officer (CFO). It is then saved as an electronic file and transferred to a visual media presentation. The draft Form 990 is then electronically delivered to the three-member Audit Committee. Questions and answers are coordinated with the CFO. The audit committee approves the filing of the 990, reports on such approval to the Board, and ensures that each Board member is aware that the 990 is available for their own personal review.

Pt VI, Line 12C

Each new board member undergoes an initiation process with the Executive Director. As part of that process, the written conflict of interest policy is reviewed with the new member, who is then requested to complete the conflict of interest questionnaire for submission at or prior to his/her first active board meeting. Active board members are required to update their personal conflict of interest questionnaire at an annual board meeting. The Chair of the Board and Executive Director review the completed questionnaires,and the Chair routinely reminds board members of the need or suggestion to abstain from related votes, if warranted.

Pt VI, Line 15B

The Executive Director of the organization prepares an annual review of each of the organization's employees and shares the review content with the Compensation Committee. The Compensation Committee is comprised of a cross-section of board members who are also familiar with the operations and staff of the organization. The committee operates independently of the Board under budget constraints that may be imposed by the Board's Finance Committee. As part of the review of each individual, the Executive Director sumbits salary history, inflation statistics, internal budgetary guidance, and compensation comparability data to the committee members. E.D. makes recommendations for consideration in the area of gross pay and employer-funded retirement and other employer-funded group benefits, including but not limited to health benefits.

The Chairperson of the Board prepares an independent assessment of the Executive Director to the Compensation Committee members, collects comparability data, and utilizes some of the data presented by the Executive Director related to other key employees with the objective of achieving committee agreement on appropriate levels of compensation for the Executive Director.

The Community's Foundation is exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code. Income unrelated to the Foundation's exempt purpose would be subject to federal and state income taxes. In addition, the Foundation qualifies for the charitable contribution deduction under Section 1 and 170(b)(1)(A), and has been classified as an organization that is not a private foundation under Section 509(a)(2). Accounting principles generally accepted in the United States of America ("U.S. GAAP") require management to evaluate tax postions taken and recognize a tax liability (or asset) if the Foundation has taken an uncertain position that more likely than not would not be sustained upon examination by taxing authorities. Management has analyzed the tax positions taken and has concluded that as of June 30, 2019, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The Foundation is subject to routine audits by taxing jurisdictions; however there are currently no audits for any tax periods in progress. Management does not believe there are any unrelated business income for the years ended June 30, 2019 and 2018.
