Governance Explanations

Form 990, Part VI, Section A, Line 1

The chair of the board shall appoint a committee on the board, comprised of all officers of the corporation and not more than two (2) other individuals. The committee on the board shall meet at least six times each year and shall have responsibility for: (a) board development, recruitment, and nominations, (b) ceo development, recruitment, and nomination; and (c) executive compensation. The ceo shall not participate in committee meetings, or portions of those meetings, in which matters concerning the ceo are discussed. The committee on the board shall designate nominees for election to the board of directors of the corporation, the controlled entities, and the sub-entities at least fifteen (15) days in advance of the date of the annual meeting.

Form 990, Part VI, Section B, Line 12C

All employees of inglis foundation and related entities must ensure that customer care and business activities are conducted in an objective manner and are not motivated by desire for personal or financial gain. All employees are required to disclose any actual or potential conflict of interest to his or her manager, human resources or the chief ethics and compliance officer for appropriate determination and resolution. In addition, all directors, officers, members of committees with board-delegated powers and all senior managers must complete a conflict of interest affirmation of compliance and disclosure statement upon hiring, on an annual basis, and when a potential conflict of interest arises. The foundation's committee on the board has responsibility for reviewing the disclosure statements and enforcing the policy. If a conflict is deemed to be present by the committee on the board, only disinterested board members may participate in a vote of the proposed transaction.

Form 990, Part VI, Section B, Line 15

The organization retains an external firm to conduct market studies and make recommendations for compensation. Non-union, non-executive roles are evaluated every 2-3 years based on market fluctuations or demand. Executive compensation is evaluated annually and the findings are presented to the "committee on the board" for approval of compensation package. The "committee on the board" is a subcommittee of the board that is responsible for compensation review, and the decisions regarding compensation are documented in committee meeting minutes. An annual benchmark is conducted for executive compensation and for any position that is in high demand, and an external firm provides overall trends for the year. Compensation has been reviewed in 2014.

Board meetings each board member attends four board meetings per year, which last a total of approximately 16 hours. They are also on two separate committees which have three meetings per year, which last about 16 hours in total. Additionally, each board member spends about two hours per month outside of meetings on inglis business. Therefore, the total time spent on inglis business by non-employee officers and directors is approximately 56 hours, or 1 hour per week.

- care management assists individuals with diverse disabilities in accessing services and support so they can live in their own homes in the community. Care managers work one-on-one with individuals to problem-solve and brainstorm solutions, identify and work toward individualized goals for independent living, navigate community services and systems, and arrange and manage resources necessary to live independently. Inglis care management provides services through partnerships with the national multiple sclerosis society, greater delaware valley chapter, thomas jefferson university comprehensive multiple sclerosis center and inglis housing corp. In fy 2014, inglis provided care management services to 435 individuals throughout southeastern pa and nj.

Inglis' mission is to enable people with disabilities - and those who care for them - to achieve their goals and live life to the fullest. This mission is accomplished through a range of programs, facilities and strategic initiatives designed to empower adults (ages 18 and older) with severe physical disabilities. The inglis organization grew out of the work of inglis house, a public charity founded in 1877 to provide long-term, rehabilitative medical and nursing care for people with physical disabilities. Today, inglis is a national leader in providing comprehensive care and services for people with paralysis, multiple sclerosis, cerebral palsy, spinal cord and other neurological disorders. Inglis supports its consumers with 24-hour care at inglis house, a 297-bed skilled nursing facility; via 269 affordable, accessible apartments in southeastern pa and southern nj; and throughout the region with community support services for employment, care management, an adult day program and drink-aide water bottle sales. During fiscal year 2014 inglis served over 1,000 people directly, and many more indirectly through its website, www.inglis.org, the inglis awards for continuing excellence program and other outreach activities. Program/services accomplishments inglis highlights include: - completed consultation and training for 270 consumers enrolled in the inglis community computing project since the first grant period, which began in april 2011. This three-year grant initiative (funded by the pew charitable trusts) enables consumers living in the community to become more independent and productive by improving their access to computer technology and adaptive computing equipment. Consumers build skills as they use on-line technologies to enhance their daily lives. The grant was renewed for three additional years to increase training opportunities throughout the city. - completed rollout of an electronic medical records (emr) system for residents living at inglis' residential care facility, inglis house, to assure more efficiency and additional time for personal interaction with caregivers. Inglis also partnered with public broadcaster wbgh boston and children's hospital of philadelphia on a three-year demonstration project to make personal health records and technology-based patient information systems accessible to and usable by people with disabilities. - working with 20 colleges, universities and organizations annually to train future healthcare professionals to better understand the unique needs of people with disabilities. - continuing the inglis awards for continuing excellence (ace) program, now in its 11th year, to honor the outstanding performance of other organizations serving people with disabilities throughout the delaware valley. Four organizations received awards in 2014 and continued inglis' goal of sharing best practices regionally and nationally. Forty-four organizations have received ace awards since the program's inception; award distributions exceeded the half-million-dollar level this year. - inglis, in conjunction with the christopher and dana reeve foundation, sponsored the region's first mindfulness for caregivers conference at the doubletree hotel in philadelphia. Research shows that even brief exposure to mindfulness training reduces stress, eases chronic pain and improves wellbeing. Nearly 200 caregivers attended. - the inglis website, www.inglis.org, received two industry awards: best website from pr daily's 2014 nonprofit pr awards, and a 2014 summit international creative award. Both organizations cited the website's accessibility for visitors and programmers with disabilities, as well as its clean design. PART X, LINE 2:

Inglis foundation accounts for uncertainty in income taxes using a recognition threshold of more-likely-than not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold is met. Management determined that there were no tax uncertainties that met the recognition threshold in 2014 or 2013. The business organization exempt income tax returns for inglis foundation for the years prior to 2011 are no longer subject to examination by the internal revenue service.
