“This organization is the tax-exempt parent entity of aria health system; a tax-exempt integrated healthcare delivery system ("system"). This organization's federal form 990 was provided to each voting member of its governing body (its board of directors) prior to filing with the internal revenue service ("irs"). In addition, the chairman of the organizations audit committee performed a detailed review of this form 990 prior to filing with the irs. The organization's audit committee has assumed the responsibility to oversee and coordinate the federal form 990 preparation, review and filing process for all tax-exempt affiliates of the system. As part of the organization's federal form 990 tax return preparation process the organization hired a professional cpa firm with experience and expertise in both healthcare and not-for-profit tax return preparation to prepare the federal form 990. The cpa firm's tax professionals worked closely with the system's finance personnel and other system individuals including, but not limited to, the vice president of finance & controller and the corporate accounting manager ("internal working group") to obtain the information needed in order to prepare a complete and accurate tax return. The cpa firm prepared a draft federal form 990 and furnished it to the system's internal working group for review. The system's internal working group reviewed the draft federal form 990 and discussed questions and comments with the cpa firm. Revisions were made to the draft federal form 990 where necessary and a final draft was furnished by the cpa firm to the system's internal working group for final review and approval prior to the presentation of the federal form 990 to the chairman of the organization's audit committee. Thereafter, the form 990 was made available to each member of this organization's board of directors prior to filing with the irs.”
“This organization is the tax-exempt parent entity of aria health system; a tax-exempt integrated healthcare delivery system ("system"). The organization and the system regularly monitor and enforce compliance with its conflict of interest policy. Annually all representatives of this organization and its wholly owned subsidiaries are required to review the current conflict of interest policy and complete the annual conflict disclosure statements. Within the conflict of interest policy representatives are defined as: 1) all members of the board of directors and committees thereof; 2) all corporate officers and senior executives; and 3) all system physician employees and independent contractors, medical staff leaders, members of the medical executive committee, and medical directors who receive total compensation in excess of $150,000 per year. The completed questionnaires are returned to the system's chief legal counsel and chief compliance officer for review. Thereafter a summary of the disclosed conflicts are made available to the board of directors for review and discussion.”

This filing organization itself has no paid senior management personnel receiving compensation directly from this organization. Rather, key senior management personnel including, but not limited to, the president/chief executive officer, chief financial officer, chief operating officer, chief human resources officer, chief nursing officer, svp network development and chief legal counsel ("senior management") are employed by aria health. However, the compensation and benefits of certain individuals are shown on this tax return because they are also directors, officers or key employees of this organization. Accordingly, aria health's board of directors has a governance and human resource committee ("committee"). The committee has adopted a written executive compensation philosophy which it follows when it reviews and approves the compensation and benefits of the system's senior management. The committee reviews the "total compensation" of senior management which is intended to include both current and deferred compensation and all employee benefits, both qualified and non-qualified. The committee's review is done frequently to ensure that the "total compensation" of senior management of the system is reasonable. The actions taken by the committee enable the organization to receive the rebuttable presumption of reasonableness for purposes of internal revenue code 4958 with respect to the total compensation of senior management. The three factors which must be satisfied in order to receive the rebuttable presumption of reasonableness are the following: 1. The compensation arrangement is approved in advance by an "authorized body" of the applicable tax-exempt organization which is composed entirely of individuals who do not have a "conflict of interest" with respect to the compensation arrangement; 2. The authorized body obtained and relied upon "appropriate data as to comparability" prior to making its determination; and 3. The authorized body "adequately documented the basis for its determination" concurrently with making that determination. The committee is comprised of members of the board of directors each of who are independent and are free from any conflicts of interest. The committee relied upon appropriate comparable data; specifically the committee obtained a written compensation study from an independent firm which specializes in the reviewing of hospital and healthcare system executive compensation and benefits throughout the united states. This study used comparable geographic and demographic market data including but not limited to similar sized hospitals, # of licensed beds and net patient service revenue. The committee adequately documented its basis for its determination through the timely preparation of written minutes of the committee meetings during which the executive compensation and benefits was reviewed and subsequently approved. The actions outlined above with respect to the committee and the establishment of the rebuttable presumption of reasonableness only applies to the previously mentioned senior management personnel.”

(2) The Professional Court - Opened in 1999, Aria's Professional Court Medical Building is its newest outpatient center. “School of Nursing/Nursing at Aria ================================= School of Nursing ----------------- Aria Health School of Nursing continues to distinguish itself, building on its roots and history as Frankford Hospital School of Nursing and poised now to grow across another hundred years of success in providing quality academics and preparation in the field of nursing. In the fall of 1904, a training school for nurses was established in Northeast Philadelphia, just a block away from Aria Health - Frankford Campus, which had been founded in 1903. Under the direction of Anna C. Garrett, who was also Aria Health - Frankford Campus's first superintendent, the Frankford Hospital School of Nursing set forth to provide exceptional education to students interested in pursuing the nursing profession. The Frankford Hospital School of Nursing developed into a distinguished co-educational institution, and over a century-plus provided more than 2,500 students with comprehensive learning experiences in professional nursing. In 2004, Aria Health School of Nursing, under its former name of The Frankford Hospital School of Nursing, celebrated its 100-year anniversary. It continues to carry on the long tradition of educating caring and professional nurses who will become a vital part of the healthcare community and the community in which they live. In April of 2012, Aria Health School of Nursing relocated to the Aria Corporate Center at Neshaminy Interplex in Trevose, PA. The new facility provides our students with a professional setting in which to pursue their studies. Year after year, Aria Health School of Nursing graduates are just as unanimously satisfied with their education as their employers are with their performance. The leadership of Thomas Jefferson Universitys Jefferson College of Nursing and Aria Healths School of Nursing are planning to open a Bachelor of Science in Nursing (BSN) program at the Aria Campus in Trevose, Pa, pending approval by the Pennsylvania Board of Nursing. The decision to move from a diploma program to a BSN-degree granting program was the result of a thoughtful and deliberate process involving an integration team that included nursing and nursing education leaders. Aria Health utilizes a nursing practice model based on Relationship Based Care ("RBC"). The RBC model provides a conceptual framework as well as a vision for delivering care with strong underlying values and principles. It also provides the practical infrastructure for putting into action the education and leadership needed to make Aria Health Nursing successful and provide an effective means to measure that success. “In-house rotations include standard Floor/ Telemetry teaching Teams at Bucks and 2 excellent but vastly different ICU experiences. The Bucks ICU allows for individual growth and autonomy with oversight from 2 different critical care attendings as well as the admitting attending. The Torresdale ICU is a much larger and busier ICU with a wide mix of medical, surgical, and trauma patients. Residents will round with an organized critical care team led by a full-time Intensivist. Both ICU's allow for significant procedural experience. Multiple large university hospitals in the area provide excellent academic and clinical experiences for completing elective and selective requirements, and we place very few restrictions on outside rotations. This allows for valuable "face time" at institutions where you may be pursuing a fellowship. Residents also complete a weekly half-day ambulatory medicine experience in the hospital's urban Internal Medicine Clinic at the Frankford campus. The residents are able to develop their own panel of patients that they manage throughout their residency career. Monthly patient information sessions are held by the residents to educate the Clinic patients about common medical topics, like tobacco cessation and diabetes. We schedule patients so residents will have sufficient time to spend with each patient and be comprehensive in their individual care plan. The traditional call schedule has been replaced with a Night-Float system which allows for better continuity in patient care. The Night-Float system also eliminates missing time away from rotations when residents traditionally would have been post-call. The Aria Health Internal Medicine residency program is committed to providing our residents with the best educational experience found in a community hospital. The friendly environment allows for growth at all stages of training. Osteopathic Emergency Medical Residency The Aria Health's Emergency Medicine Residency Program offers a unique experience for education in Emergency Medicine. The diversity within the Aria Health system creates an atmosphere of enhanced educational and clinical opportunities, while affording the development of individual interests. The Emergency Medicine Residency Program supplements the clinical rotation experience with affiliations with other academic centers of the Philadelphia region such as Children's Hospital of Philadelphia, Temple University Hospital, St. Christopher's Hospital for Children, Cooper Hospital University Medical Center and Albert Einstein Medical Center. Through Aria Health's unique three campus system and affiliates, residents have the opportunity to experience all aspects of the medical community. This diversity of clinical experience prepares the residents for careers in all areas of Emergency Medicine. Clinical, administrative, teaching and research skills are developed and cultivated, creating the next generation of leaders and mentors in their field.
