“The designated members are representatives of pasac, the network of contracted providers. The network of contracted providers and the balance of the membership are from the community. The board is comprised of no fewer than 13 or more than 25 members.”

“Conflict of interest & disclosure policy: no member of the respect together board of directors or staff shall derive any personal profit or gain, directly or indirectly, by reason of his or participation with respect together. This shall also include the member's business or other nonprofit affiliations, family and/or significant other, employer, or close associates who may stand to receive a benefit or gain. All board members shall complete a disclosure statement and maintain a continuing obligation to update this statement regularly. The disclosure statement shall be provided to the chairperson of the board and in the case of the chairperson disclosure, to the secretary of the board. Copies shall also be provided to the ceo. Each individual shall disclose to the executive committee through the board chair any personal interest which he or she may have in any matter pending before the organization and shall refrain from participation in any discussion or decision on such matter. Any new member of the board of directors shall be given this policy at the time of their election onto the board of directors and the policy will be reviewed annually by the board at a regularly scheduled meeting. The minutes of the meeting shall reflect that the conflict disclosure was made, the vote taken and, where applicable, the abstention from voting and participation by the interested party.”
