The association is organized into a single class of voting members (the "members"). All exhibitors and paying attendees at the association's events (including, without limitation, the annual convention and marketplace) shall be eligible to join the association as members.

At least thirty percent (30%) of the members shall be required to approve (i) any merger or consolidation of the association or (ii) any sale, lease, or exchange of all or substantially all of the assets of the association.

A confirmation email is sent to the preparer when management approves the final version. Jon dobkin then e-mails the final version to members of the executive committee before filing.

In accordance with natpe's conflict of interest policy, at least each year, all directors, officers and key employees of natpe are asked to complete and sign a "disclosure questionnaire" for any potential conflicts and then update if any arrise after completing the form.

Financial Statement Notes

PART X, LINE 2:

The organization is a non-profit organization that is exempt from income taxes under section 501(c)(6) of the internal revenue code and section 23701(e) of the revenue taxation code of california. Accordingly, no provision for income taxes is included in the accompanying financial statements. The organization has no unrecognized tax benefits at march 31, 2015. The organization's federal and state income tax returns prior to fiscal years 2011 and 2010, respectively, are closed. Management continually evaluates expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings. If applicable, the organization recognizes interest and penalties associated with tax matters as part of income tax expense and includes accrued interest and penalties with accrued expenses in the statement of financial position.
