The completed form 990 is reviewed by the cfo and the audit committee. Excluding schedule b for confidentiality purposes, it is then provided to the board of directors via e-mail before it is filed.

Form 990, Part VI, Section B, Line 12C

Each officer, director and key employee is required to fill out and return an annual conflict of interest form. The returned statements are compiled and reviewed. Persons who have not returned the form are contacted and requested to complete it again. At any meeting in which the board is to act on a transaction involving a conflict of interest, all material facts are disclosed and brought to the attention of the board. Any person with a conflict is prohibited from voting on the transaction.

An independent hr consultant is used to establish compensation and benefits for the staff. The compensation committee reviews salaries on an annual, or more frequent basis. Consultant references local wage benchmarks, peer organization salaries as well as the hr survey issued by opera america. Financial Statement Notes

PART V, LINE 4:

Endowment net assets consist of permanently restricted contributions subject to donor-imposed restrictions that the principal be invested in perpetuity, as well as residual income held in temporarily restricted net assets. The funds are subject to pennsylvania act 141 governing nonprofit endowments, under which the company has elected to adopt a "total return" investment policy based on the value of the fund. The company has adopted an investment policy that attempts to maximize total return consistent with an acceptable level of risk. Endowment assets are invested in a diversified asset mix, which includes equity and debt-related securities that is intended to result in a reasonable inflation-protected rate of return while growing the fund if possible.

PART X, LINE 2:

The company is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. Fasb accounting standards (asc) 740 addresses the accounting for uncertainty in income taxes and establishes for all entities, including not-for-profit entities such as the company, a minimum threshold for financial statement recognition of the benefit of positions taken or expected to be taken in filing tax returns (including whether an entity is taxable in a particular jurisdiction). The company recognizes tax benefits only if it is more likely than not that a tax position (including the company's assertion that its income is exempt from tax) will be sustained upon examination. No liability for uncertain tax positions was recorded as of may 31, 2021 or 2020.

THE COMPANY ALSO PROGRAMMED WORK FOR MEMBERS OF THE CHORUS, INCLUDING AN OUTDOOR CONCERT AT DILWORTH PARK ALSO CAPTURED FOR STREAMING, AND A FILM PROJECT SHOT ON LOCATION IN PARTNERSHIP WITH LOCAL CHURCHES IN THREE DIFFERENT PHILADELPHIA NEIGHBORHOODS. IN MAY, OPERA PHILADELPHIA RETURNED TO LIVE PERFORMANCE IN FRONT OF AUDIENCES WITH TWO LARGE CONCERT EVENTS AT THE MANN CENTER FOR THE PERFORMING ARTS. 1,125 TICKETS WERE SOLD FOR A VALUE OF $107,285. BOTH LIVE PROGRAMS WERE ALSO FILMED AND RELEASED DIGITALLY.
