Effective july 1, 2021, the organization became an affiliate within st. Luke's university health network ("network"); a tax-exempt integrated healthcare delivery network. Please note, this federal form 990 reflects the number of 1099's issued by the organization prior to its affiliation with st. Luke's university health network. Effective july 1, 2021, st. Luke's hospital of bethlehem, pennsylvania; a related internal revenue code section 501(c)(3) tax-exempt organization paid all outstanding accounts payable invoices on behalf of this organization. In conjunction with this service, st. Luke's hospital of bethlehem, pennsylvania also prepared and issued forms 1099 to vendors receiving payments where applicable and filed the applicable forms 1099 with the irs. This federal form 990 reflects no top five independent contractors paid for services as the total amounts paid by this organization and st. On november 10, 2020, st. Luke's university health network ("network") entered into a definitive agreement (the "affiliation agreement") with penn foundation, inc., penn villa corp., penn gardens, inc., and penn foundation trust. On july 1, 2021, subsequent to the satisfaction of all conditions precedent, the affiliation was completed and consummated. Thereafter, this organization's certificate of incorporation and bylaws were amended and restated to include st. Luke's health network, inc. As its sole member.

The organization is an affiliate within st. Luke's university health network ("network"); a tax-exempt integrated healthcare delivery network. St. Luke's health network, inc. Is the tax-exempt parent entity of the network. The organization's federal form 990 was provided to each voting member of the organization's governing body (its board of trustees) prior to the filing with the internal revenue service ("irs"). In addition, the st. Luke's university health network finance committee was updated as to this organization's current year form 990 prior to filing. St. Luke's health network, inc. Board of trustees delegated to the finance committee the responsibility to oversee and coordinate the federal form 990 preparation and filing process for the tax-exempt affiliates of the network. As part of the organization's federal form 990 tax return preparation process the organization hired a professional certified public accounting ("cpa") firm with experience and expertise in both healthcare and not-for-profit tax return preparation to prepare the federal form 990. The cpa firm's tax professionals worked closely with the network's finance personnel and various other network individuals ("internal working group") to obtain the information needed in order to prepare a complete and accurate tax return. The cpa firm prepared a draft federal form 990 and furnished it to the network's internal working group for their review. The network's internal working group reviewed the draft federal form 990 and discussed questions and comments with the cpa firm. Revisions were made to the draft federal form 990 where necessary and a final draft was furnished by the cpa firm to the network's internal working group for final review and approval prior to presentation of the federal form 990 to the members of the st. Luke's health network, inc. Finance committee. Thereafter, the final federal form 990 was provided to each voting member of the organization's governing body prior to filing with the irs.

The organization is an affiliate within st. Luke's university health network ("network"); a tax-exempt integrated healthcare delivery network. St. Luke's health network, inc. Is the tax-exempt parent entity of the network. The network has a written conflict of interest policy and regularly monitors and enforces compliance with that policy. The policy requires that a conflict of interest disclosure form consistent with best governance practices and internal revenue service guidelines be circulated to officers, trustees, board committee members and senior management annually. The network's compliance department, including its corporate compliance officer and senior vice president/general counsel, assume responsibility for the completion of the conflict of interest questionnaires and enforcement with the policy. If a trustee discloses an interest that could give rise to a conflict, the trustee's potential conflict may be disclosed to the organization's governing body, which evaluates the conflict and its potential impact on the trustee's participation on the board. After consultation and discussion the board of trustees may take action, if appropriate and necessary, to address any such conflict in a manner consistent with the network's conflict of interest policy.

Is the tax-exempt parent entity of the network. Compensation review executive compensation for the network consists of fixed salary, at-risk compensation and other deferred compensation arrangements. Total compensation for network executives is approved annually by the network's board of trustees. The recommended compensation is established through a multi-faceted approach including use of an independent consultant engaged on an ongoing basis by the board of trustees and who works directly with the executive compensation committee of the board. Also included is the review of forms 990 and compensation surveys of other comparable healthcare organizations. Penn foundation, inc. (d.b.a st. Luke's penn foundation) is recognized by the internal revenue service (irs) as an internal revenue code section 501(c)(3) tax-exempt organization. Pursuant to its charitable purposes, st. Luke's penn foundation operates its campus in sellersville, bucks county as a community-based behavioral health provider with 25 mental health and substance use treatment programs that serve individuals in a non-discriminatory manner regardless of race, color, creed, sex, national origin, religion or ability to pay. In fiscal year 2021-2022, st. Luke's penn foundation served 11,110 individuals and delivered 165,035 services. St. Luke's penn foundation also contracted with 80 businesses to provide their employee assistance program. Employees utilizing the service totaled 475 with a total of 2,366 service hours of trainings, counseling, incident debriefings and other consultative services. St. Luke's penn foundation manages the community petition site for crisis services for bucks county, pennsylvania. In october 2021, the petition site officially moved from grand view health to the st. Luke's upper bucks hospital, located at 3000 st. Luke's drive, quakertown, pa 18951. St. Luke's penn foundation staff deliver the crisis services in the emergency department of st. Luke's upper bucks hospital. Additionally, the crisis line is available 24 hours a day, 7 days a week at 215-257-6551. Mission ======= the mission of st. St. Luke's penn foundation in partnership with st. Luke's university health network operates one of the largest nonprofit networks of inpatient and outpatient behavioral health services in eastern pennsylvania and northern new jersey. The network's combined services establish a comprehensive continuum of care to treat patients with behavioral health and substance use disorders. At the st. Luke's penn foundation campus, we operate one of pennsylvania's first opioid use disorder centers of excellence. St. Luke's penn foundation is also an aetna institute of quality and an independence blue cross center of distinction. Additionally, investing in prevention education and serving as a community resource is a vital part of our programming. In fiscal year 2021-2022 (fy 22), st. Luke's penn foundation was involved in 139 community outreach engagement opportunities to raise awareness of the behavioral health services available through st. Luke's penn foundation. St. Luke's penn foundation's village of hope provides 16 transitional housing to individuals with co-occurring mental health and substance use issues in an environment that promotes independence and recovery. None of the 30 men and women who came to the village of hope this year entered the program employed. However, 47% of them obtained employment during their stay. St. Luke's psychiatry residents are now completing rotations at the st. Luke's penn foundation campus. Four residents have come through the program, which is designed to provide physicians with experience in community mental health and addiction treatment. By contributing to the growth of the profession, st. Luke's is cultivating competent, compassionate psychiatrists with the intent of retaining them as part of its health system. Keeping our clients and staff safe as we continued to navigate our "new normal" during covid was a constant focus. This year, we provided telehealth services to 4,234 clients. We also actively worked to have our residential clients vaccinated by hosting various clinics at st. Luke's penn foundation. At penn villa, 96% of clients obtained covid vaccines. St. Luke's penn foundation's employee assistance program expanded hours to accommodate growing demand. Additionally, a new office was opened in september 2022 in bethlehem, northampton county. Children's services were expanded with the relaunch of camp programming, which was made possible by arpa funding received from bucks county. The three-year grant awarded st. Luke's penn foundation approximately $460k to relaunch and expand camp programming. In fall 2022, two weekend camps were held for children with substance abuse in their families. Twenty-two children benefitted from programming over the two weekends. Wellspring clubhouse continued to benefit from its three-year grant of $175,000 from the pew charitable trusts. This grant continues to provide mobile psychiatric rehabilitation services and, in cooperation with several of st. Luke's penn foundation's other rehabilitation programs, to offer cognitive remediation therapy (crt). Crt involves the use of computer exercises to work with people individually to improve their cognitive - thinking/understanding/remembering - functioning. The pilot crt program with drug & alcohol intensive outpatient group clients will run through the grant cycle ending in march 2023. St. Luke's penn foundation's overview of programs ------------------------------------------------- mental health outpatient services provides comprehensive evaluations, counseling, and medication management for individuals, couples and families presenting with mental health and co-occurring mental health and substance use disorders. Assertive community treatment (act) is a person-centered approach to care for adults 18 years of age and older who have a severe mental illness. By blending the disciplines of psychiatry, psychology, nursing, addiction, social work and psychosocial rehabilitation, the program offers a multidisciplinary team of professionals that works together to provide highly individualized treatment, outreach, rehabilitation, and support services in individuals' homes and communities. St. Luke's penn foundation operates two act teams. They are located in pottstown, montgomery county and exton, chester county. Support is available 24 hours a day, 7 days a week. Forensic assertive community treatment (fact) offers the same services as act (described above) to residents of upper bucks county and the lansdale, souderton and telford areas of montgomery county. Admission requirements for bucks county residents include involvement with the legal system or time spent in bucks county prison. Mental health case management (administrative and blended case management/recovery coaching) helps individuals and families in choosing, locating and accessing community resources such as housing, financial benefits/entitlements, employment and educational opportunities, etc. To further their recovery. Longer-term assistance is also provided through blended case management to children, young adults and adults with serious mental health or co-occurring mental health and substance use disorders to maximize clients' potential for independent community living, improved educational/vocational status, increased social support networks and reduced psychiatric hospitalizations. Individuals registered with blended case management have contact with their case manager/recovery coach based on their level of need. The minimum level of contact is once every 30 days but may be more frequent depending on the individual's needs/wishes for assistance. Blended case management also offers a 24-hour, 7 days-a-week on-call support to individuals who are in crisis. Health-connections helps individuals to improve their physical and behavioral health care by working as a team with their primary care practitioner (pcp), their other physical and behavioral health care providers and their physical and behavioral health care plans. Participants work closely with a nurse navigator and behavioral health navigator who ensure communication across healthcare providers, provide health and wellness education and assist in accessing needed health services. Reach ipr (intensive psychiatric rehabilitation) assists individuals with mental health or co-occurring mental health and substance use issues in setting and achieving personal goals in their living, learning, working and social environments. Services are provided on an intensive, time-limited basis through group work and individual meetings. By working through five phases: (1) readiness assessment, (2) readiness development, (3) goal choosing, (40 goal achievement and (5) goal keeping. Individuals in this program develop skills that they can transfer to independent living. Wellspring clubhouse is a voluntary social, educational and vocational rehabilitation program that promotes recovery and instills hope among members with mental health and/or co-occurring substance use challenges. It features a work-ordered day, and member leadership and involvement, in all aspects of the program. Members work side by side with staff as colleagues in three work units - health & wellness, member services and career development. Clients learn and gain support and resources needed to live independently and improve their quality of life. Provided within an integrated community known as penn villa, residential services offers housing support for adults (18 years of age and older) with serious mental illnesses and co-occurring mental health and substance use disorders. Residents experience independence, personal growth and holistic recovery with the support of current residents and staff. Support is provided by st. Luke's penn foundation staff within a group home and five townhomes, representing capacity for 23 clients. The co-occurring mh/aod residential program, known as the village of hope, is a transitional (up to two years) supported housing program specifically for homeless adults who have been diagnosed with both a mental health and substance use disorder. It is designed to provide assistance in gaining the skills necessary for successful re-entry into the mainstream of life. Two houses - one for men and one for women - each serve up to eight individuals and offer 24/7 staff support. Family based services provides 32 weeks of intensive community and home-based therapy and support for children and adolescents (up to age 21) with emotional and behavioral problems and their families. Is the tax-exempt parent entity of the network. An independent certified public accounting ("cpa") firm audited the consolidated financial statements of the network and its controlled affiliates for the years ended june 30, 2022 and june 30, 2021; respectively and issued a consolidated financial statement. The following footnote is included in the network's audited consolidated financial statements that addresses the network's endowment funds: the network's endowment consists of approximately $65,380,214 individual donor restricted endowment funds and $2,814,842 board-designated endowment funds for a variety of purposes plus the following where the assets have been designated for endowment: split interest agreements, and other net assets. The endowment includes both donor-restricted endowment funds and funds designated by the board of trustees to function as endowments. The net assets associated with endowment funds including funds designated by the board of trustees to function as endowments, are classified and reported based on the existence or absence of donor imposed restrictions. Return objectives and risk parameters the network has adopted endowment investment and spending policies that attempt to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the purchasing power of endowment assets. Under this policy, the return objective for the endowment assets, measured over a full market cycle, shall be to maximize the return against a blended index, based on the endowment's target allocation applied to the appropriate individual benchmarks. The network expects its endowment funds over time, to provide an average rate of return approximating the s&p 500 stock index (domestic portion), msci eafe index (international portion) and lehman brothers intermediate government/corporate index (bond portion). Actual returns in any given year may vary from the index return amounts. Strategies employed for achieving investment objectives to achieve its long-term rate of return objectives, the network relies on a total return strategy in which investment returns are achieved through both capital appreciation (realized and unrealized gains) and current yield (interest and dividends). The network targets a diversified asset allocation that places greater emphasis on equity-based investments to achieve its long-term objectives within prudent risk constraints. Endowment spending allocation and relationship of spending policy to investment objectives the board of trustees of the network determines the method to be used to appropriate endowment funds for expenditure. Calculations are performed for individual endowment funds at a rate of 4.5% of a three-year moving average market value with a minimum increase of 0% and a maximum increase of 10% per year over the previous year's spending amount. The total is reduced by the income distributed from the endowment fund in accordance with the preferences/restrictions made by the donors. The corresponding calculated spending allocations are distributed annually by june 30. In establishing this policy, the board considered the expected long term rate of return on its endowment. Accordingly, over the long term, the network expects the current spending policy to allow its endowment to grow at an average of 8% percent annually, consistent with its intention to maintain the purchasing power of the endowment assets as well as to provide additional real growth through new gifts.
