Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall consist of the board chair (who shall serve as chair of the executive committee), the vice-chairs, the president, the brother visitor of dena, and the chairs of all of the standing committees. The executive committee shall have and may exercise, when the board is not in session, all of the powers of the board in the management of the business and affairs of the university, except that the executive committee may not grant or confer degrees, nor make removals from office, nor incur any indebtedness unless previously authorized to do so by the board. During the interval between meetings of the board, all committees shall report to the executive committee such matters which they deem necessary and shall perform such other functions as requested by the board.

Form 990, Part VI, Section B, Line 11B

The process of reviewing la salle university's 990 return internally is thorough and complete. The first step in the process requires the financial audit to be substantially complete, and then the appropriate persons at the university are contacted so they may begin preparing their respective sections of the 990. The data is then gathered and entered into the 990 and supporting schedules. Upon completion of the 990, by the director of finance and accounting, the 990 along with all supporting schedules are sent to the independent accountants. Once reviewed by the independent accountants, and any questions answered or support provided, it is sent back to the university for final review and presentation to the university's finance and audit committee. Lastly, the final version will be sent to the vice-president for finance and administration for approval and signature. The form 990 is provided to the governing board prior to filing.

Form 990, Part VI, Section B, Line 12C

The university consistently monitors and enforces compliance with its written conflict of interest policy. The university requires that all board members annually sign a conflict-of-interest statement. This statement places the responsibility of expectation on each member that he/she must always act in the best interests of the university and refrain from actions that would be to the sole benefit of the member at the expense of la salle university. Regarding the university's staff and employees, there is on-going training conducted by various departments. The intent of this training is to have employees understand and embrace the "la sallian" virtues and codes of conduct for all employees. The conflict of interest policy applies to members of the board of trustees, officers, key employees, and staff of the university. It is also intended to serve as a guide for all employees of la salle. Disclosures by board members are directed to the board chair including any disclosures by the president. All other employees are to disclose any conflicts or potential conflicts to the officer of their respective division. Any such disclosure should then be forwarded to human resources for inclusion in the employee's personnel file. Any person unsure of a conflict may request an officer to weigh in on the matter to ascertain whether or not a conflict exists.

Form 990, Part VI, Section B, Line 15

There is a compensation committee of the board of trustees which reviews the compensation of the president and certain senior university executives. Beginning in 2009, the board engaged an outside consultant to advise on executive compensation going forward. The process utilizes customized regional and national salary survey data, complies with all irs and other requirements for independence, accountability, disclosure, and documentation. Consequently, our executives are compensated competitively and our trustees are secure in knowing that all regulatory requirements have been met. The consultant will then present its findings and recommendations back to the la salle compensation committee of the board of trustees. At this point, there would be deliberation on any recommendations and the board will also take into account any other relevant information and factors in determining the reasonableness of executive compensation. This process last occurred for the president in 2015, and for all other officers and key employees in 2016.

Financial Statement Notes

PART III, LINE 4:

The la salle university art museum provides an educational resource for la salle students, especially those majoring in art history, as well as for the communities in the surrounding areas. The mission of the museum is to further the university's lasallian educational objectives by helping students, other members of the university community, and the general public to experience art in a an intimate setting and to place them in meaningful contexts.

PART V, LINE 4:

The university's endowment consists of approximately 151 individual funds established for a variety of purposes. The university has a policy of appropriating for distribution each year up to 5% of its funds based on a trailing 12 quarter average endowment market value. The university, over the long term, expects the current spending policy to allow its endowment to continue to grow. This is consistent with the university's objective to maintain the purchasing power of its endowment assets held in perpetuity or for a specified term as well as to provide additional real growth through new gifts and investment return.

PART X, LINE 2:

The university has been granted tax-exempt status as a non-profit organization under section 501(c)(3) of the internal revenue code. Accordingly, no provision for income taxes has been made in the accompanying financial statements. Accounting principals generally accepted in the united states of america requires management to evaluate the tax positions taken by the university and recognize a tax liability or asset if the university has taken an uncertain tax position that more likely than not would not be sustained upon examination by the relevant taxing authority. Management has analyzed the tax positions taken by the university, and has concluded that as of may 31, 2017 and 2016, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability or asset or disclosure in the financial statements. The university is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
