Governance Explanations

Form 990, Part VI, Section B, line 11B

The organization's management and its accountants present Form 990 to the finance committee at a regular scheduled meeting. The form 990 is then presented to the full board and recommended for approval by the finance committee.

Form 990, Part VI, Section B, line 12C

Upon orientation to the agency, and annually thereafter, all staff and board members review the conflict of interest policy and sign a form indicating it has been reviewed. The policy indicates that: 1) all potential conflicts of interest will need to be reported, and 2) the process for reporting.

Form 990, Part VI, Section B, line 15

Compensation for the CEo is determined by gathering comparative data from published sources such as guidestar, njamha's statewide salary survey, nj salary survey of professionals for nonprofits, and the nonprofit times annual salary survey. Information gathered through the salary search in combination with the regular performance review determines the salary of this position. This is reviewed by a subcommittee of the board of trustees and presented to the ceo by the board chairperson. The ceo shall present to the board any changes to the compensation level of all corporate officers, the CFO, and any staff who make over $100,000 annually.

Form 990, Part VI, Section C, line 19

The organization makes its governing documents, conflict of interest policy & financial statements available to the public during normal business hours upon request.
