Bancroft Rehabilitation Services

“The members of the board of trustees are appointed to such position by the board of trustees of bancroft neurohealth, a related organization. The board of trustees of bancroft neurohealth must approve each of the following actions taken by the corporation in order for such action to be effective: any amendment of the corporation's certificate of incorporation and/or by-laws; any sale, lease, exchange, encumbrance or other transfer of all or any substantial portion of the corporation's assets, which is not made in the ordinary course of business; any merger of the corporation into another entity, any merger of another entity into the corporation, or any consolidation of the corporation with another entity; any adoption of a plan of liquidation or any other steps in liquidation or dissolution; and any transaction or other event in which the corporation becomes affiliated with another entity; any appointment or reappointment to the board of the corporation; the budget of the corporation and any material deviation from such operational budget, business plans or annual goals; any capital expenditures or series of capital expenditures in excess of $25,000 per fiscal year not included in the capital budget.”

“Management presents and reviews a draft of the form 990 with the audit committee for its approval prior to filing. This generally takes place at the april audit committee meeting. Prior to finalizing, a copy of form 990, as ultimately filed with the internal revenue service, is provided to the organization's governing body via email.”

“Compliance with the conflict of interest policy is monitored and enforced regularly and consistently. On an annual basis, each board member is asked to complete a disclosure questionnaire, which is then reviewed by the vice president of finance and the finance committee for the existence of potential conflicts. All potential conflicts are referred to the full board, which makes a determination as to whether the applicable member should recuse himself or herself from deliberations and decisions on the matter at hand. If the board determines that a conflict may exist, and the conflicted individual does not voluntarily recuse himself or herself, the conflicted individual is prohibited from participating in any of the board's deliberations and decisions related to the matter.”

“The organization does not generally compensate top management officials, officers, or key employees. These individuals are compensated by bancroft neurohealth, a related organization.”

“The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.”

“Independent contractors are issued 1099s by bancroft neurohealth, a related organization. Bancroft neurohealth is then reimbursed for these expenses by bancroft rehabilitation services.”
