The executive committee uses data as to the comparable compensation for similarly-qualified persons in functionally-comparable positions at similarly-situated organizations. The deliberations and decisions regarding the compensation arrangement are contemporaneously documented and the records kept. After the compensation of the officer is determined by the executive committee, such compensation is considered and reviewed by the governing body. The process is used to establish compensation of the persons who serve in the office of the president.”
